THIS AGREEMENT,made this 14,1 day ofApr%2.016 by and between Gauthier Skilled Craftsman

N, .therefore, the Contractor and the Owner for the consideration hereinafter named, agree as
follows:
1. SCOPE OF WORK AND, MATERIALS: This contract shall consist of the bid and proposal, general
conditions,standard conditions, and references contained hereon, the work write-up, and drawings and lead-
risk assessment, if any, incorporated herein.
Upon request by Shelter Planning & Development, Inc. the Contractor must provide manufacturer's
specifications for any material/product to be used in the rehabilitation work prior to their use or installation,
Shelter Planning&Development, Inc. shall be responsible for determining whether or net a product/material
meets the specifications called for under the contract. The decision made by Shelter Planning &
Development, Inc, shall be final.
2. HOLD HARMLESS:The Contractor shall indemnify, defend and,save harmless the Owner, the New York
State Housing Trust Fund, the Town of Queensbury and Shelter Planning & Development, Inc. and their
agents and employees from liability for any injury or damages to persons or property resulting from, arising
out of or related to any of the work performed or obligations set forth in this Agreement, including but not
limited to attorney's fees and court costs. Contractor is acting in the capacity of an Independent Contractor
with respect to the Owner.
3. LIEN WAIVERS: As a condition to receiving final payment hereunder, the Contractor shall deliver to the
Owner a complete release of all liens arising out of this Contract and a warranty covering all work performed
hereinunder to the effect that such work shall be free from defects arising from the workmanship of the
Contractor or any subcontractor or the quality of materials used herein, for one (1) year or for such longer
period as may be included in any warranty given by the manufacturers of any material used in the work
performed hereinunder.
4. TIME FOR PERFORMANCE: The Owner hereby issues a written proceed order, attached to this
Agreement. The Contractor shall begin the work under this Agreement Upon receipt of liability insurance,
NY Worker's Compensation,Town Permit 2016, and shall diligently pursue and execute the
work and shall complete the work on or before May 10, 2016 time being of the essence of the agreement.
If the Contractorfails to commence work within one(1)week of the date of Owner's notification to commence,
Owner shall have the right to terminate this Agreement. Such termination of notice shall be in writing.
If completion is delayed for reason's beyond the Contractor's control, Contractor shall provide timely notice
to the Owner of the reasons for such delay. If such good cause is claimed by the Contractor, it shall be the
Contractor's obligation to substantiate its claim by adequate documentation. Should an extension of time be
required the Contractor agrees to provide reasonable notice in advance, which request and response shall
be in written format, and cannot exceed an additional one month period from the date noted above.

5. CONTRACT AMOUNT AND PAYMENT SCHEDULE:The Contractor may make application for a progress
payment as soon as those components of the work itemized and identified by number in the specifications
for which payment is requested, have been completed. The request for payment shall include a statement
describing the work that was performed. Upon approval of such request for payment by the Owner,and the
Town of Queensbury, the Contractor shall be paid ninety(90%) percent of the approved progress payment
amount contained in the application for payment. Payments are subject to the Owner's acceptance of work
done, in addition to inspection by the Rehabilitation Officer, and the Town of Queensbury Building &Codes
Office, as applicable.
Final payment requires evidence of all applicable permits, inspections, clearances and required signatures
before a disbursement request for payment can be processed. All amounts due and payable by the Owner
to the Contractor for work performed under this agreement shall be payable after the work is satisfactorily
completed and approved. Payment to the Contractor shall be made upon receipt of funds from the State of
New York to the Town of Queensbury. The Contractor and the Owner acknowledge the neither the Town
of Queensbury, nor Shelter Planning&Development, Inc.,have any control pertaining to the amount of time
the State of New York takes to make funds available for contract work completed
The Owner, Town of Queensbury, and/or New York Homes and Community Renewal, or any of their
designated representatives, before making payments hereunder may require the Contractor to furnish
releases or receipts from any or all persons performing work and supplying materials or services to the
Contractor, or any subcontractor, or work under this contract, if this is deemed necessary to protect the
Owner's interest.
PHOTOGRAPHS OF COMPLETED WORK SUBMITTED WITH INVOICES ARE REQUIRED FOR
PAYMENT.
6. PAYMENT AMOUNT:For the consideration named herein,the Contractor proposes to furnish all material
and do all the work described in,and in accordance with the contract identified above for the sum of Thirteen
thousand eight hundred eighteen dollars and no cents($13.818.00).
7. DESIGNATED REPRESENTATIVES:The Owner acknowledges New York State Homes and Community
Renewal or its designated representatives, and the Town of Queensbury or its designated representatives
shall be afforded access at all times to inspect the work. The designated representative for the Town of
Queensbury is Shelter Planning&Development, Inc., 94 Glenwood Avenue, Queensbury, New York (518-
798-6627).
8. PERMITS AND CODES:The Contractor shall give all notices required by and comply with all
applicable laws, ordinances, and codes of the local government and shall at his own expense, secure and
pay the fees or charges for all permits required for the performance of contract work.
9. LIABILITY INSURANCE AND NEW YORK STATE WORKER'S COMPENSATION INSURANCE: The
Contractor shall carry or require that there be carried complete Workers'Compensation for all of his
employees and those of his subcontractors engaged in work on the contract premises, in accordance with
the laws of New York State governing the same. The amounts and limits of the public liability and
insurance referred herein, shall be subject to approval of the Owner. The Contractor shall furnish
evidence of a comprehensive public liability insurance coverage protecting the Owner for not less than
$1,000,000.00 in the event of bodily injury including death, and $1,000,000.00 in the event of property
damage arising out of the work performed by the Contractor.
10. DEFAULT: If the Contractor refuses to complete the work specified in the contract, refuses to provide
the required warranty, or fails to complete the work as specified in this contract, and has not requested
and received a contract extension on or before the completion date identified above, the Contractor shall
be deemed to be in default.

In the event of default,the Town of Queensbury and/or its designated representative, Shelter Planning &
Development, Inc. may take any of the following actions:
a)Terminate the contract with the Contractor upon payment to the contractor for the reasonable
value of any labor or materials furnished to the work site. The parties hereto agree that the value of
labor or materials furnished shall be solely by Shelter Planning&Development, Inc.A penalty against
the Contractor may also be made by deducting ten (10%) percent of the total cost of the contract
from the amount owed the Contractor in default; and/or
b)Waive the default and amend the contract to establish a new deadline for completion and/or
sanction the defaulting Contractor by prohibiting it from bidding on any other rehabilitation projects
under this program for a period of ninety(90)days from the date of Shelter Planning &
Development's determination.
11. DISPUTES AND RESOLUTION: In the event that there is an unresolved dispute between the Owner
and the Contractor as to the meaning of any term or condition of this contract including the specifications,
the proper installation of materials/products or the proper completion of the project and Contractor
responsibilities under the contract, Shelter Planning & Development, Inc. shall be the mediator. The
decision made by Shelter Planning& Development, Inc. shall be final.
12. CHANGES TO THE SCOPE OF WORK: Products other than specified in the contract specifications
must present manufacturer's specifications for the approval by Shelter Planning&Development, Inc. prior
to their use under this contract. Any work other than specified in the contract specifications shall not be
approved, unless reduced in writing, and approved by the Owner, Contractor, and Shelter Planning&
Development, Inc..
Shelter Planning&Development, Inc. shall be responsible for determining whether or not work performed,
or changes in work product/material meets the specifications called for under the contract. The decision
made by Shelter Planning&Development, Inc,shall be final.
13. ADDITIONAL APPLICABLE LAWS: During the performance of this contract, the Contractor agrees
as follows:
a) There will not be any discrimination against any employee or application for employment because
of race, creed,color or national origin. The Contractor will take Affirmative Action to insure that
applicants are employed, and that employees are treated during employment without regard to
their race, creed, color or national origin.
b) Pursuant to Section 3 of the Housing and Community Development Act of 1968, the Contractor
will,to the extent possible, provide training and employment opportunities to low and moderate
income residents of the Town of Queensbury and/or Warren County.
c) The Contractor will cause the foregoing provisions to be inserted in all subcontracts for work
covered by the contract so that such provisions will be binding upon each subcontractor, the
foregoing provisions shall not apply to any contracts or subcontracts for standard commercial
supplies or raw materials.
14. REMOVAL OF DEBRIS: The Contractor shall keep the premises clean and orderly during the course
of the work and remove all debris upon completion of the work.
15. ASSIGNMENT OF CONTRACT: The Contractor shall not assign this contract without the written
consent of the Owner and that such request for assignment of said contract must be addressed to Shelter
Planning&Development, Inc.

16. OWNER COOPERATION: The Owner shall cooperate with the Contractor to facilitate the
performance of the work, including the removal and replacement of rugs, coverings and furniture as
necessary.The Owner further agrees to perform no construction work of any kind on this property during
the course of this agreement, and further acknowledges that failure to comply with this requirement will
result in the immediate termination of this contract. Service calls necessary to maintain current working
systems does not constitute construction.
The Owner will permit the Contractor to use at no cost, existing utilities such as light, heat, power, and
water necessary to the carrying out and completion of the work.
The Owner will make accommodations in routines to the degree reasonable to allow the Contractor to
perform work for timely completion as per schedule. The Contractor likewise acknowledges that work
requested beyond a typical construction work day may not be reasonable and should discuss such
considerations with the Owner before starting work.
17. OCCUPANCY:The premises herein shall be occupied during the course of the construction work
undertaken pursuant to this contract.
18. PROHIBITION OF KICKBACKS: No officer, employee or official of the Town of Queensbury who
exercises any function of responsibilities in connection with carrying out of the project to which this
contract pertains shall have any private interest, direct or indirect, in this contract or in its proceeds.
19. CONTRACTING PARTIES: The undersigned attests, subject to the penalties for perjury,that they
are the contracting party or that they are the representative, agent, member or officer of the contracting
party,that they have not, nor has any member, employee, representative, agent or officer of the firm,
company, corporation or partnership represented by them,directly or indirectly,to the best of their
knowledge, entered into or offered to enter into any combination, collusion or agreement to receive or pay,
and that they have not received or paid, any sum of money or other consideration for the execution of this
agreement other than that which appears upon the face of this agreement.
20. OWNER TITLE: The title of all work completed and in the course of construction and of all materials
on account of which any payment has been made, shall be in the Owner.
21. CONTRACT AMENDMENTS: This Agreement, executed in triplicate, shall be construed under the
Laws of the State of New York, and may be modifed or amended only by a written instrument executed by
both the Owner and the Contractor and assented to by the Town of Queensbury.

8. Gaps exceeding Y4"between new window and frame will not be accepted.
9. Panning and expander strips installed above, below, or at sides of new windows
will not be accepted unless installed due to unlevel openings.
10. Old sash and material disposal shall be the responsibility of the contractor.
11. Any damaged, deteriorated or missing interior or exterior framing, casing,
moldings or parting stop shall be replaced upon installation of new windows.
12. New moldings, casings,framing or parting stop installed upon installation shall
be primed and finished to match existing surrounding surfaces.
13. New windows shall be caulked at interior and exterior. Caulk to be installed in all
spaces and cracks surrounding new window.
14. Use good quality silicone caulk Color to match window color.
15. Windows shall be double glazed and include screens and sash locks.
16. Windows to match existing window type unless otherwise specified.
17. Windows shall be installed level into frame.
18. Unlevel frames shall be repaired to level opening for window.
19. The homeowner shall decide as to the removallreplacement of existing storm
windows in situations where new windows are not installed as part of the
specifications.
20. In cases where old storm windows are to be replaced on the window opening, the
contractor shall re-install the windows using screws and caulk to match existing.
21. The contractor shall not revise existing window size in order to install a smaller
window unless otherwise specified. In cases where the contractor feels that he/she
cannot obtain the proper window size, the change shall be noted on the bid
proposal.
Cellar Windows
1. Replacement cellar windows shall be rigid, vinyl coated, hopper type windows or
equal.
2. Cellar windows shall include screens and sash locks.
3. Cellar window U factor shall not be greater than.30.
4. Existing cellar window framing shall be removed and replaced with good quality
pressure treated, 2"wood framing unless otherwise specified.
S. Gaps between new pressure treated framing and masonry shall be filled with
mortar or caulked with good quality caulk.
6. New window framing shall be installed level in opening and repaired to fill all
gaps between foundation and frame.
7. New framing shall be finished to match house casings.
8. New windows shall be installed level into new framing and caulked.
9. Windows containing dryer vents shall be replaced with replacement window
containing dryer vent opening.
10. Dryer vents must be installed into new vented window.
11. Include all vent ducting to insure proper venting of dryer.
12. Cellar windows shall be replaced with original sized windows unless otherwise
specified.

3. Storm doors shall completely open and shut tight to original frame.
4. Doors shall be caulked on all three sides using good quality silicone caulk to
match finish.

ELECTRICAL

1) Materials, methods, and assemblies are to be in accordance with the most
current edition of the National Electrical Code, National Board of Fire
Underwriters and the New York Fire Underwriters.
2) Electrical devices, fixtures and installations shall be approved by
Underwriters Laboratories or other authorized code inspector before
payment(see authorized inspection companies below).
3) Fluorescent fixtures shall be Energy Star approved fixtures.
4) New outlets, fixtures and switches shall include new grounded wiring to
breaker panel or fuse panel.
5) Cover plates shall be required on all repaired outlets and fixtures.
6) Only wire listed as U.G. shall be buried.
7) Armored cable shall be used as specified by National Electrical Code.
8) Junction boxes shall include covers and clamps.
9) E.M.T. conduit shall be used where wiring is exposed in unfinished areas.

19)Bathroom and kitchen light fixtures shall not exceed$50.00 each.
20)Kitchen, bath, cellar and laundry receptacle outlets shall be 20 amp.
21)15 amp receptacles can be used for other non-appliance locations.
22)Grounding shall consist of continuous driven 8'rod and to metal cold
water pipe with visible clamp.
23)Electrical boxes shall be installed in walls and ceilings, not to exceed 118"

New Electric Entrance Cable
1) New electric service entrance installations shall include entire installation
from utility supplied wire to meter to interior electric service panel.
2) Price shall include all additional charges that may be required by utility
company.
3) Price shall include moving existing cable entrance location and new steel
weather head and conduit if required by utility company.
Aluminum Wiring
1) Specifications calling for repair of aluminum wiring shall be repaired with
COPALUM CONNECTORS from Tyco Electronics only.
2) Installation of Copalum connectors shall only be installed by persons who
have received authorized training in the installation of these spliced
connectors.
3) Copalum connectors shall only be installed using tools made specifically
for installing Copalum crimp connectors.
Smoke detectors
1) Hardwired electric smoke detectors shall be approved by Underwriters
Laboratories and marked with U.L. Approval.
2) Electric smoke detectors shall be connected to the lighting circuit of the room
it is located.
3) Multiple installations of detectors shall be interconnected to code.
4) Battery operated smoke detectors shall be First Alert quality type or equal.
5) Battery operated smoke detectors shall include battery, Alkaline, Duracell
quality in new condition and be fully operational prior to completion.
6) Smoke detectors to be located away from kitchens and bathroom area's and
not in direct contact with kitchen or bathroom exhaust venting.
7) Install smoke detectors to local code requirements at least 12"away from
nearest edge of ceiling or wall comer.
8) Consult local code department or fire department for further installation
questions.
Carbon Monoxide Detectors
1) Carbon monoxide or CO2 detectors shall be hardwired, electric type
unless otherwise specified.
2) Detectors shall be wired to lighting circuit of room it is located in to prevent
disconnection of appliance.
Electrical Insnedions
1) An approved, signed, completed electrical inspection certificate must be
submitted Shelter Planning & Development, Inc. prior to paid completion
of all electrical work.
2) Completed inspection must include all work specified to be completed
under contract.
3) Electrical inspection agencies are approved by each municipality and only

Any additional or changed electrical work suggested by the

"The term `carbon monoxide source' includes fuel fired appliances,equipment,devices
and systems; solid fuel burning appliances, equipment,devices and systems; all other
appliances,equipment,devices and systems that may emit carbon monoxide; fireplaces;
garages;and all other motor vehicle-related occupancies.
In Single family Horne constructed prior to January 1,2008 the Carbon Monoxide
Detector may be hard wired or battery operated were no interconnection is possible due
to existing wiring.
Non-compliance will be dealt with when a complaint is
filed with the Building and Codes Department

Batteries need to be replaced every year

Carbon Monoxide Alarm Requirements
WHERE THIS ALARM SHOULD NOT BE INSTALLED
To avoid causing damage to the unit, to provide optimum protection, and to prevent unnecessary
alarrns, Do NOT locate this Alarm:
In the kitchen, some gas appliances can ernit a short burst of CO upon start-up. This is
normal. If your CO Alarm is installed too close to these appliances, it may alarm often and
becorne a nuisance
Keep units at least 20 feet(6 meters) from the Sources of combustion particles (stove,
furnace, water heater, space heater) if possible. In areas where a 20-foot(6m) distance is not
possible - in modular,mobile, or smaller homes, for example it is recommended the Alai-in
be placed as far from these fuel burning sources as possible. The placernent
recommendations are intended to keep these Alarms at a reasonable distance, from
a fuel-burning source, and thus reduce"unwanted" alarms. Unwanted alarms can occur
if an Alai-in is placed directly next to a fuel-burning source. Ventilate these areas as much
as possible. If you must install the Alarm near a cooking or heating appliance, install at
5 feet(1.5 meters) from appliance
In extremely humid areas, This Alai-in should be at least 10 feet(3 meters) from a shower,
sauna, humidifier, vaporizer, dishwasher, laundry room, utility room, or other source
of high humidity.

areas include non-air conditioned crawl spaces, uninsulated or poorly insulated, porches,
and garage.

with the sensor,
AVOIDING DEAD AIR SPACES
"Dead air" spaces may prevent CO from reaching the Alama. To avoid dead air spaces, stay at
least 4" (102 mm)away from comers where walls or ceilings and walls meet.
They can be installed at heights recommended by the manufacturer. CO detectors do not have to
be installed on or near the ceiling. To ensure proper operation, do not install CO detectors
next to bathrooms, which are sources of humidity, or near gas stoves, gas dryers, etc.
Detectors should not be placed in areas where they are likely to be damaged by children or pets.
