RESOLUTION AUTHORIZING ENGAGEMENT OF EVISION DIGITAL
MARKETING FOR DIGITAL MARKETING SERVICES

WHEREAS, by Resolution No.: 202,2016, the Queensbury Town Board authorized, in part,
engagement of eVision Digital Marketing, LLC (eVision) for digital marketing and brochure
development during 2016, and
WHEREAS, the Town Board wishes to again engage the services of eVision for digital
marketing during 2017 for an amount not to exceed $840 per month as set forth in eVision's February
24, 2017 proposal presented at this meeting, and
WHEREAS, by prior Resolution and Agreement the Queensbury Town Board provided in the
Town Budget for the Town's receipt of occupancy tax revenues from Warren County in accordance
with the Local Tourism Promotion and Convention Development Agreement(Agreement) entered into
between the Town and Warren County and the Agreement provides that specific expenditure of the
funds provided under the Agreement are subject to further Resolution of the Town Board, and
WHEREAS, the Town Board wishes to authorize the expenditure of $840 per month for
eVision's services, such funds to be from Warren County occupancy tax revenues received by the
Town, as a new Town website will promote the Town of Queensbury, its businesses and amenities,
thereby serving as an economic development tool for tourism in Queensbury and the surrounding area,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes and directs the
engagement of eVision Digital Marketing, LLC (eVision) for digital marketing services during
2017 as set forth in eVision's February 24, 2017 proposal presented at this meeting, and
BE IT FURTHER,
RESOLVED, that the Town Board further approves and authorizes the expenditure(s) of$840
per month for such services, such funds to be from Warren County occupancy tax revenues received
by the Town and to be paid for from Account No.: 050-6410-4412, contingent upon the Town
Budget Officer confirming that the Town has unallocated occupancy tax funds available from Warren
County, and
BE IT FURTHER,
RESOLVED, that the Town Board authorizes and directs the Town Budget to amend the
Town Budget and/or take any actions needed to provide for such payment, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor to
execute any necessary Agreement or documentation in form acceptable to the Town Supervisor and/or
Town Counsel and the Town Supervisor and/or Town Budget Officer to take any and all actions
necessary to effectuate the terms of this Resolution.

During 2016, we successfully provided the Town with a number of programs
that have increased visibility and usability of the town website for residents,
staff, government officials and businesses.
One of the most important programs has been the community outreach. Local
articles and interviews, content promotion and social media development for
everything from local events to holiday promotions to gain visibility has
provided the Town with a significant increase in engagement with citizens and
business owners online.
Attached are our recommendations for a monthly program that will allow us to

Challenges:
Much of the Town of Queensbury website content was outdated, and the TOQ
was unable to access key components of the site internally.Additional
impediments included:
• More than two dozen departments with unique staff accessibility needs
• Lack of functionality for uploading and maintaining Town Board Meeting
audios for public access
• Lake of easy access to primary functions for paying bills, applying for
permits, and basic Town information and news
• No form of emergency notification
• Poor usability for residents, visitors, staff
Results .
We implemented a full overhaul of the Town of Queensbury website design, UX
and code base - with the resulting comparison data for the first 6 months vs.
the last 6 months from date of launch:

TERMS AND
CO \JDTIONS
This marketing Agreement (this "Agreement) made this January 31st, 2017 by
and between the Town of Queensbury (the "Client") and Pamela Sissons and
Jennifer McDonald, owners of eVision Digital Marketing, LLC states as follows:
1. Description of the Services. eVision Digital Marketing, LLC will provide the
services chosen in the project summary listed above in a professional and timely
manner.
2. Payments. The client agrees to pay eVision Digital Marketing, LLC an initial
payment of first months cost for services upon execution of this Agreement.
Unforeseen changes or additions to the original scope of the work as described
in the project summary and details above may occur during the course of the
marketing plan. If additional requests are furnished to the eVision Digital
Marketing, LLC by the client, regarding the updates or revisions, or deadlines,
an itemized description of the services and costs will be provided to you before
work is started and additional payments may be necessary.
3. Default In Payment/Returned Check Fee. The client shall assume
responsibility for cost outlays by designer in all collections of unpaid fees and of
legal fees necessitated by default in payment. Invoices in default will include but
are not limited to fees for collection and legal costs. In the event that a check
bounces, the client will be sent an email allowing ten (10) days to rectify the
situation. If within the ten (10) days the client fails to pay fees, including a
$25.00 returned check fee, legal action may be taken.
4. Late Payments. All invoices are payable within 21 business days of receipt.A
$5o service charge is payable on all overdue balances.
5. Ownership Rights. Until full payment has been made, eVision Digital
Marketing, LLC retains ownership of all original Website content or parts
contained therein, whether preliminary or final. Upon full and final payment,
Client shall obtain ownership of the final Website Content to use and distribute
as they see fit. eVision Digital Marketing, LLC retains the right to use the
completed Website Content and any preliminary designs for the purpose of use
in her portfolio. eVision Digital Marketing, LLC retains her right to use similar
navigational devices, menus, menu structure or arrangements, icons and other
operational components of the Website on websites other than that of the
client.
6. Copyrights and Trademarks. The client unconditionally guarantees that any
elements of text, graphics, photos, designs, trademarks, or other artwork
furnished to eVision Digital Marketing, LLC for inclusion in the marketing plan
are owned by the client or that the client has permission from the rightful
owner to use each of these elements, and will hold harmless, protect, indemnify
and defend eVision Digital Marketing, LLC from any liability(including
attorney's fees and court costs), including any claim or suit, threatened or
actual, arising from the use of such elements furnished by the client.
7. Warranty. eVision Digital Marketing, LLC warrants to the client that the
design of website components will be free from defects in materials and faulty
workmanship under normal use, and that the site will operate properly with
latest versions of web browsers. This does not cover items damaged, modified or
misused after delivery of Website to the client.
8. Warranty — Owner. The client represents and warrants to eVision Digital
Marketing, LLC that the client owns (or has a legal license to use) all photos,
text, artwork, graphics, designs, trademarks, and other materials provided by
the client for inclusion in the Website, and that the client has obtained all
waivers, authorizations, and other documentation that may be appropriate to
evidence such ownership. The client shall indemnify and hold harmless eVision
Digital Marketing, LLC from all losses and claims, including attorney fees and
legal expenses, which may result by reason of claims by third parties related to
such materials.
9. Disclaimer of Warranties. Except as expressly provided in this agreement,
the parties hereby specifically disclaim any representations or warranties,
express or implied, regarding the services, including any implied warranty of
merchantability or fitness for a particular purpose or implied warranties arising
from the course of dealing or course of performance.
10. Limitation of Liability. Notwithstanding anything to the contrary contained
in this contract, eVision Digital Marketing, LLC does not warrant that the
functions contained in the Website will be uninterrupted or error-free. The
entire risk as to the quality and performance of the Website is with the client
Under no circumstances shall eVision Digital Marketing, LLC be liable to the
client Or any third party for any damages, including but not limited to indirect,
incidental, consequential, special or exemplary damages (even if that third party
has been advised of the possibility of such damages), arising from any provision
of this agreement including, but not limited to, loss of revenue or anticipated
profit or lost business, costs of delay or failure of delivery, service interruptions
caused by acts of g-d, the hosting service or any other circumstance beyond
designer's reasonable control, and including, but not limited to the operation of
or inability to operate the website, failure of any service provider, of any
telecommunications carrier, of the internet backbone, of any internet servers,
owner or owner's website visitor's computers or internet software, even if and
when eVision Digital Marketing, LLC has been advised of the possibility of such
damages.
11. Indemnity. Each party agrees to defend, indemnify, and hold harmless the
other party and its officers, directors, agents, affiliates, distributors,
representatives, and employees from any and all third party claims, demands,
liabilities, costs and expenses, including reasonable attorney's fees, costs and
expenses resulting from the indemnifying party's material breach of any duty,
representation, or warranty under this Agreement.
12. Assignment. This Agreement is not assignable, in whole or in part, by
either party without prior written consent of the other party. Any attempt to
make such assignment shall be void.
13. Termination. This Agreement shall terminate after eVision Digital
Marketing, LLC has completed her services as described in project summary and
details of this Agreement, or upon thirty (30) days written notice by either
party.
14. Termination Fees. Termination fees are due based upon the amount of the
work completed by eVision Digital Marketing, LLC. In the event of such
termination before the completion of services, the client shall be obligated to
pay only for actual services provided by eVision Digital Marketing, LLC and for
expenditures incurred with the client approval. The client will pay to eVision
Digital Marketing, LLC fifty percent (50%) of the final fee due within 3o days of
notification that for any reason the job is canceled or postponed prior to
completion of the work.
15. Severability. If any provision of this Agreement is held to be invalid, illegal
or unenforceable, the remaining portions of this Agreement shall remain in full
force and effect and construed so as to best effectuate the original intent and
purpose of this Agreement.
16. Governing Law. This Agreement shall be construed in accordance with the
laws of the State of New York. Venue shall be in a court of competent
jurisdiction in the State of New York, and both parties expressly consent to
jurisdiction in such courts.
17. Complete Contract/Amendments. This Agreement supersedes all prior
agreements and understandings between the parties for performance of the
services described in project summary and details above, and constitute the sole
and complete agreement and understanding between eVision Digital Marketing,
LLC and the client. The parties may amend or modify this Agreement in writing
signed by both the client and eVision Digital Marketing, LLC.
The undersigned hereby agree to terms, conditions and stipulations of this
agreement on behalf of his or her organization or business.
