RESOLUTION AUTHORIZING MEMORANDUM OF UNDERSTANDING
BETWEEN TOWN OF QUEENSBURY AND WARREN COUNTY
REGARDING REIMBURSEMENT OF PAYROLL EXPENSES INCURRED
AT 2017 ADIRONDACK HOT AIR BALLOON FESTIVAL

WHEREAS, the Adirondack Hot Air Balloon Festival was held at the Floyd Bennett
Memorial Airport in the Town of Queensbury in September, 2017, and
WHEREAS, the Town of Queensbury provided staff from its Highway Department to
assist the Warren County Department of Public Works with covering vacant shifts to remove
trash, control traffic and park cars on the access roads and runway during the Festival with the
Town incurring payroll expenses in the amount of$4,577.05 during such time, and
WHEREAS, by Resolution No: 447 of 2017, the Warren County Board of Supervisors
(Warren County) authorized execution of a Memorandum of Understanding (MOU) between the
Town and Warren County providing for Warren County's reimbursement of$4,577.05 to the Town
for such payroll expenses, and
WHEREAS, the proposed Memorandum of Understanding is presented at this meeting
and is in form acceptable to Town Counsel,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes the 2017
Memorandum of Understanding Between Warren County and Town of Queensbury substantially
in the form presented at this meeting, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor to
execute such Memorandum of Understanding and any other needed documentation and the Town
Supervisor and Town Budget Officer to take any other needed actions to effectuate the terms of
this Resolution.

BETWEEN WARREN COUNTY AND TOWN OF QUEENSBURY
THIS MEMORANDUM OF UNDERSTANDING made by and between the COUNTY OF
WARREN,a municipal corporation and political subdivision established under the laws of the State
of New York, having its principal offices and place of business located at the Warren County
Municipal Center,with a mailing address of 1340 State Route 9,Lake George,New York 12845,
("County"), and the
TOWN OF QUEENSBURY,a municipal corporation and political subdivision established
under the Laws of the State of New York,having its principal offices and place of business located
at the Town Office Building, 742 Bay Road, Queensbury, New York 12804 (the "Town").
RECITALS
WHEREAS, the Adirondack Hot Air Balloon Festival was held at the Floyd Bennett
Memorial Airport in the Town of Queensbury on September 22,23 and 24,2017, and
WHEREAS, the Town of Queensbury provided staff from their Highway Department to
assist with covering vacant shifts to remove trash,control traffic and park cars on the access roads
and runway during the 2017 Adirondack Hot Air Balloon Festival, and
WHEREAS,the Town of Queensbury has submitted an invoice to Warren County requesting
reimbursement from the County for payroll expenses incurred during that time period in the amount
of Four Thousand Five Hundred Seventy-Seven Dollars and Five Cents ($4,577.05),and
WHEREAS,pursuant to Resolution No.447 of 2017 approved by the Warren County Board
of Supervisors on November 17,2017,the Superintendent of the Department of Public Works was
authorized to execute a Memorandum of Understanding between the County and the Town to
reimburse the Town for payroll expenses incurred in the amount of Four Thousand Five Hundred
Seventy-Seven Dollars and Five Cents ($4,577.05) for labor provided during the Adirondack Hot
Air Balloon Festival.
NOW, THEREFORE,the parties hereto agree as follows:

NOW,THEREFORE,the parties hereto:ao ee as follows:
1. The County shall reimburse the Town for an amount not to exceed Four
Thousand Five Hundred Seventy-Seven Dollars and Five Cents($4,577.05)representing the cost
of payroll expenses incurred by Town of Queensbury highway personnel to cover vacant shifts to
remove trash, control traffic and park cars on.:the access roads and runways during the 2017
Adirondack Hot Air Balloon Festival.
2. This Memorandum of Understanding constitutes the entire agreement between
the County and the Town.
3. To the extent applicable:to this Agreement, the Town has abided by all
Federal and New York State Labor laws and regulations.
4. This Agreement shall become effective upon execution by both parties and
terminate upon receipt of payment by the Town.
IN WITNESS WHEREOF,this agreement has been executed by the duly authorized officers
of the respective parties.

WHEREAS,the Superintendent of the Department of Public Works is requesting the County enter
into a Memorandum of Understanding with the Town of Queensbury to provide reimbursement to the Town
for payroll expenses as a result of providing staff support during the 2017 Adirondack Hot Air Balloon
Festival at the Floyd Bennett Memorial Airport, and
WHEREAS, the Town of Queensbury agreed to provide town highway personnel to assist with
filling vacant shifts to remove trash,control traffic and park cars on the access roads and runways during
the 2017 Adirondack Hot Air Balloon Festival,now,therefore, be it
RESOLVED, that the Superintendent of the Department of Public Works be, and hereby is,
authorized to execute a Memorandum of Understanding with the Town of Queensbury for reimbursement
of payroll expenses incurred as a result of providing staff to fill vacant shifts during the 2017 Adirondack
Hot Air Balloon Festival, in a form approved by the County Attorney,and be it further
RESOLVED, that the Memorandum of Understanding will commence upon execution by both
parties and terminate upon payment of an invoice from the Town of Queensbury for an amount not to
exceed Four Thousand Five Hundred Seventy-Seven Dollars and Five Cents($4,577.05),and be it further
RESOLVED,that the funds will be expended from Budget Code A.5610 470,Airport,Contract.
