SETTING PUBLIC HEARING CONCERNING PROPOSED
CONSOLIDATION OF WEST QUEENSBURY SANITARY SEWER
DISTRICT AND CAREY ROAD SANITARY SEWER DISTRICT

WHEREAS, New York General Municipal Law Article 17-A authorizes water and sewer
districts to consolidate into combined districts if such combination "shall be conducive to the
public health, welfare, and convenience and be of special benefit to the lands of the district"; and
WHEREAS, the West Queensbury Sanitary Sewer District ("West Queensbury District")
was duly established by the Queensbury Town Board ("Town Board") in 2011 to serve the West
Queensbury area from the City of Glens Falls line at Western and Thomas Streets to the area just
past Exit 18 of the Adirondack Northway (I-87) on Corinth Road; and
WHEREAS, the Carey Road Sanitary Sewer District ("Carey Road District") was duly
established by the Town Board in 2016 to serve the Carey Industrial Park and adjacent properties
along Corinth Road, Carey Road, Silver Circle, Big Bay Road and Big Boom Road, and connect
to the West Queensbury District at two locations, but the improvements have not yet been
constructed; and
WHEREAS, the Queensbury Town Board is the body responsible for the administration
of all its sewer districts, including the West Queensbury District and the Carey Road District, and
WHEREAS, the Town Wastewater Director has studied whether it would be to the
mutual benefit, and in the best interests of the customers each serves, to combine the West
Queensbury District and the Carey Road District into one District, and determined that such a
combination would create greater operating efficiencies, provide better service to the public each
serves, and generate cost savings by avoiding duplication in administrative services, and
WHEREAS, Town Counsel and the Town Wastewater Director have prepared a proposed
Consolidation Agreement and provided it to the Town Board for its review;
WHEREAS, New York General Municipal Law Article 17-A requires the local
government entities to be consolidated to endorse a Consolidation Agreement by adoption of a
joint Resolution to commence consolidation proceedings; and
WHEREAS, the Queensbury Town Board is the governing entity for each of the Districts,
so the statutory requirement for a joint Resolution is satisfied by adoption of a single Resolution
by the Queensbury Town Board on behalf of each District, and
NOW, THEREFORE, IT IS HEREBY
RESOLVED AS FOLLOWS:
1. The Town Board hereby endorses the proposed Consolidation Agreement.
2. As stated in the proposed Consolidation Agreement, the Town Board shall meet at
the Queensbury Activities Center, 742 Bay Road, Queensbury, New York, on Monday, March 5,
2018 at 7:00 p.m. to hear public comments on the proposed Consolidation Agreement and to take
such other and further action as may be required or authorized by law, which date is not less than
35 days and not more than 90 days after commencement of consolidation proceedings by
adoption of this Resolution.
3. The Town Board hereby authorizes and directs the Queensbury Town Clerk to:
(a) cause a copy and a Summary of the Agreement to be displayed and readily
accessible to the public for inspection in a public place, being the Town Clerk's Office
located at 742 Bay Road, Queensbury, New York 12804 and also at the Town

Wastewater/Water Building located at 833 Corinth Road, Queensbury, New York
12804;
(b) cause a copy and a Summary of the Agreement and a reference to the public place
where they may be examined to be displayed on the Town's website; and
(c) arrange for the Summary of the Agreement and a reference to the public place
where they may be examined to be published at least once each week for four (4)
successive weeks in The Post Star,
not more than five (5) business days after adoption of this Resolution, as required by the New
York General Municipal Law.
4. The Town Board further authorizes and directs the Queensbury Town Clerk to
cause a Notice of the Public Hearing, including a Summary of the Agreement and a reference to
the public places where it may be examined, to be published and displayed on the Town's website
not less than 10 or more than 20 days before the Public Hearing, as required by the New York
General Municipal Law.
5. The Town Board authorizes and directs the Town Supervisor, the Town
Wastewater Superintendent, the Town Clerk and Town Counsel to take all actions necessary to
effectuate this Resolution.

CONSOLIDATION AGREEMENT
OF
WEST QUEENSBURY SANITARY SEWER DISTRICT
AND
CAREY ROAD SANITARY SEWER DISTRICT
THIS AGREEMENT is entered into by the Town of Queensbury, a New York
municipal corporation with its offices at 432 Bay Road, Queensbury, New York.
WHEREAS, New York General Municipal Law Article 17-A authorizes water and
sewer districts to consolidate into combined districts if such combination "shall be
conducive to the public health, welfare, and convenience and be of special benefit to the
lands of the districts"; and
WHEREAS, the West Queensbury Sanitary Sewer District ("West Queensbury
District") was duly established by the Queensbury Town Board ("Town Board") in 2011 to
serve the West Queensbury area from the City of Glens Falls line at Western and
Thomas Streets to the area just past Exit 18 of the Adirondack Northway (1-87) on
Corinth Road; and
WHEREAS, the Carey Road Sanitary Sewer District ("Carey Road District") was
duly established by the Town Board in 2016 to serve the Carey Industrial Park and
adjacent properties along Corinth Road, Carey Road, Silver Circle, Big Bay Road and
Big Boom Road, and connects to the West Queensbury District at two locations; and
WHEREAS, the Town Wastewater Director has studied whether it would be to
the mutual benefit, and in the best interests of the customers served by each District, to
combine the West Queensbury District and the Carey Road District into one District, and
has determined that such a combination would create greater operating efficiencies,
provide better service to the public served by each District, and generate cost savings
by avoiding duplication in administrative services; and

WHEREAS, New York General Municipal Law Article 17-A requires endorsement
of a Consolidation Agreement to commence proceedings to consolidate Districts, and
the purpose of this Agreement is to comply with this requirement;
NOW, THEREFORE, in consideration of the foregoing recitals, the Town Board
sets forth the following terms and conditions for the consolidation:
(a) Name of Each District to be Consolidated:
The two Districts to be consolidated are the West Queensbury Sanitary Sewer
District and the Carey Road Sanitary Sewer District.
(b) Name of Proposed Consolidated District:
The name of the proposed consolidated District would be West Queensbury
Consolidated Sewer District (the "Consolidated District").
(c) Rights, Duties and Obligations of Proposed Consolidated District:
All of the rights, duties and obligations of each of the separate Districts under
existing contracts or agreements, including but not limited to those relating to
personnel matters, providing of sanitary sewer services and payment of
outstanding obligations, shall become the rights, duties and obligations of the
Consolidated District as of the effective date specified in paragraph (12) below.
(d) Territorial Boundaries of Proposed Consolidated District:
The boundaries of the Consolidated District will be the combined jurisdictional
boundaries of the West Queensbury District and the Carey Road District. A
description of the properties within the West Queensbury District is set forth in
Exhibit A and a description of the properties within the Carey Road District is set
forth in Exhibit B. Exhibit C contains a map, for illustrative purposes, showing the
present jurisdictional boundaries of the West Queensbury District and the
properties within the Carey Road District. Exhibit D contains a list of the tax map
numbers of the parcels that will be included in the Consolidated District. All
Exhibits are incorporated herein and made a part hereof by this reference.

(e) Type and/or Class of Proposed Consolidated District:
The Consolidated District will be a sewer district.
(f) Governmental Organization of Proposed District Insofar as it
Concerns Elected and Appointed Officials and Public Employees,
Along With Transitional Plan and Schedule for Elections and
Appointments of Officials:
Each current District and the Consolidated District will be under the control of the
Queensbury Town Board. Accordingly, the consolidation will have no effect on
elected or appointed officials or public employees and, therefore, no transitional
plan or schedule for elections or appointments of officials is needed. Employees
involved with the operation and management of each of the existing Districts are
currently employees of the Town of Queensbury and shall continue to be
employees of the Town after consolidation.
(g) Fiscal Estimate of Cost of and Savings Which May Be Realized from
Consolidation:
The present Benefit Unit charge for the West Queensbury District is $145.23/unit.
The anticipated Benefit Unit charge for the Carey Road District is expected to be
$151.51/unit. The proposed Benefit Unit charge for the Consolidated District will
be $147.00/unit for both sets of properties. This represents a slight increase for
the property owners in the West Queensbury District and a slight decrease for
those in the Carey Road District.
According to the Map, Plan and Report, the West Queensbury District has a
substantial amount of possible growth which would result in substantially more
properties sharing in paying the costs of the Consolidated District. If such growth
happens as is expected, the Consolidated District would experience a significant
decrease in its Benefit Unit Charge.
At present the debt associated with the West Queensbury District will be paid off
in 2032. It is anticipated that the proposed financing for the Carey Road District

will be paid off in 2033. These debts are intended to be purposely coordinated to
end close in time to each other.
Both Districts will be charged a quarterly Operation and Maintenance (O&M)
charge of $5.50/1000 gallons of water usage based on current rates. Both sets
of properties would be charged the same dollar amount per benefit unit and the
same O&M rate. No electrical charges would be present as neither District has
any pumps. Normal maintenance items would include locating of underground
utilities and flushing on an "as needed basis. For excavations, normal
construction methods would be employed with town equipment and personnel.
(h) Each District's Assets, Including Real and Personal Property, and
their Fair Value:
The assets of the West Queensbury District are valued at $1,456,980.43. This
includes a 2016 fund balance of approximately $52,179, which is currently
expected to increase to approximately $55,000. The tangible assets of the West
Queensbury District are valued at $1,456,980.43. This includes all sewer mains
and manholes.
The newly-created Carey Road District has no tangible assets at this time. The
Map, Plan and Report for the Carey Road District described the formation of a
District that had as its assets only Low Pressure Sewer pipe without any Town-
owned pump stations. This District will discharge into the gravity sewer of the
West Queensbury District without any Town-owned pump stations. Upon
issuance of the proposed $1,919,949 Bonds or Bond Anticipation Notes of the
Town for the benefit of the Carey Road District, the Carey Road District will have
a fund balance of $1,919,949. However, this amount will be used, needed and
fully expended for the costs of the District and the amount of the Bonds or Bond
Anticipation Notes will become a debt of the District.
(i) Each District's Liabilities and Indebtedness, Bonded and Otherwise,
and their Fair Value:

The West Queensbury District currently has no liabilities other than $1,083,000 in
long term indebtedness as the outstanding principal amount of the $4,635,500
Town of Queensbury Public Improvement (Serial) Bonds, 2013 (Main Street
Projects).
The Carey Road District currently has no liabilities or indebtedness. However, as
discussed above, upon issuance of the proposed $1,919,949 Bonds or Bond
Anticipation Notes of the Town for the benefit of the Carey Road District, the
amount of the Bonds or Bond Anticipation Notes would become a debt of the
District.
(j) Terms for Disposition of Existing Assets, Liabilities and
Indebtedness of each District, Either Jointly, Separately or in Certain
Defined Proportions:
Upon consolidation, the funds of the two existing Districts will be joined into one.
Real and personal property currently owned by each of the existing Districts will
become the property of the Consolidated District. Any pre-consolidation debts
duly incurred and agreements entered into by the Town on behalf of either the
West Queensbury District or the Carey Road District shall continue to be honored
by the Town on behalf of the Consolidated District and satisfied according to their
terms.
(k) Terms for the Common Administration and Uniform Enforcement of
Local Laws, Ordinances, Resolutions, Orders and the Like, Within
the Proposed Consolidated District, Consistent With §769 of the Act:
Local Laws, Ordinances, Resolutions and Orders affecting the Consolidated
District will continue to be administered and enforced by the Town of Queensbury
Code Enforcement Officer or the Wastewater Director. All properties included in
the Consolidated District will pay an annual benefit tax. Annual charges for the
cost of operation and maintenance costs for the water treatment plant and water
distribution system will be based on each property's metered water consumption
and shall be billed quarterly.
(I) Effective Date of Proposed Consolidation:

The proposed consolidation shall take effect upon the later of (1) the adoption of
approval of a final version of this Agreement by the Town Board after compliance
with the requirements of GMLArticle 17-A or (2)April 1, 2018.
(m) Time(s) and Place(s) for Public Hearing(s) on Proposed
Consolidation Agreement:
The Town Board shall meet at the Queensbury Activities Center, 742 Bay Road,
Queensbury, New York, on March 5, 2018 at 7:00 p.m. to hear public comments
on this proposed Consolidation Agreement.
(n) Entire Agreement:
This Agreement contains the full and complete terms for consolidation of the
West Queensbury District and the Carey Road District. There are no other verbal
or written agreements or understandings which shall modify or affect the terms of
this Agreement in any manner whatsoever. Any modifications or waivers to or of
this Agreement shall be in writing and signed by the Town Supervisor.

and conditions hereof, the Town Supervisor has signed this Agreement as of January
22, 2018.

NOTICE OF PUBLIC HEARING AND SUMMARY OF
PROPOSED TOWN OF QUEENSBURY
SEWER DISTRICTS CONSOLIDATION AGREEMENT
NOTICE IS HEREBY GIVEN that the Queensbury Town Board will hold a Public
Hearing on Monday, March 5, 2018, beginning at 7:00 p.m. at the Queensbury Activities Center,
742 Bay Road, Queensbury, New York, at which Hearing all interested parties shall have an
opportunity to be heard concerning the proposed Consolidation Agreement which would
consolidate two of the Town's Sanitary Sewer Districts pursuant to New York General
Municipal Law Article 17-A.
The Queensbury Town Board adopted a Resolution on January 22, 2018 endorsing a
proposed Consolidation Agreement to commence proceedings to consolidate two of the Town's
Sanitary Sewer Districts pursuant to New York General Municipal Law Article 17-A. The
proposed Consolidation Agreement is available for viewing at the Town Clerk's Office at 742
Bay Road, Queensbury,New York, as well as on the Town's website: www.queensbury.net.
A summary of the proposed Consolidation Agreement is as follows: The two Districts to
be consolidated are the West Queensbury Sanitary Sewer District ("West Queensbury District")
and the Carey Road Sanitary Sewer District ("Carey Road District"). The name of the proposed
consolidated District would be the West Queensbury Consolidated Sewer District (the
"Consolidated District"). All of the rights, duties and obligations of each of the separate Districts
would become the rights, duties and obligations of the Consolidated District. The West
Queensbury District currently has $1,083,000 in outstanding bonds and/or bond anticipation
notes. The Carey Road District has no outstanding indebtedness at this time; however, the Town
Board anticipates issuance of up to $1,919,949 Bonds or Bond Anticipation Notes of the Town
for the benefit of the Carey Road District. If the two Districts are consolidated, their combined
indebtedness will become a charge against the entire area of the Consolidated District.
The boundaries of the Consolidated District would be the combined jurisdictional
boundaries of the two existing Districts. A legal description of the Consolidated District, a map
and a list of the tax map numbers of the parcels that would be included in the Consolidated
District are included in the proposed Agreement. The consolidation would have no effect on
elected or appointed officials or public employees. The Town Board currently is the body
responsible for both Districts and would continue to be responsible for the Consolidated District.
The consolidation of the two Districts is expected to result in moneys being saved and long term
costs lowered. All assets currently owned by each of the existing Districts would become the
property of the Consolidated District. Local Laws, Ordinances, Resolutions and Orders affecting
the Consolidated District would continue to be administered and enforced by the Town of
Queensbury Director of Wastewater and/or the Town's Code Enforcement Officer.
All properties included in the Consolidated District would pay an annual tax on a benefit
basis according to the assigned Benefit Units determined by the use of the property as
established by the then-existing schedule of Queensbury Sewer District Class Units. The present
Benefit Unit charge for the West Queensbury District is $145.23/Unit. The anticipated Benefit
Unit charge for the new Carey Road District is expected to be $151.51/Unit. The proposed
Benefit Unit charge for the Consolidated District would be $147.00/Unit for both sets of
properties. This represents a slight increase for the property owners in the West Queensbury
District and a slight decrease for those in the Carey Road District. However, long term these
costs are expected to decrease as the undeveloped properties in the Carey Road District are
developed. Annual charges for the cost of Operation and Maintenance (O&M) are based on each
property's metered water consumption and are billed quarterly. The O&M rates charged to
property owners within the existing Districts are the same at $5.50/1000 gallons of water usage.
Any pre-consolidation debts duly incurred and agreements entered into by the Town on behalf of
either the West Queensbury District or the Carey Road District would continue to be honored by
the Consolidated District and satisfied according to their terms.
The proposed consolidation would take effect upon adoption of approval of a final
version of the Agreement by the Town Board after compliance with the requirements of GML
Article 17-A.
