ESCROW FUNDS TO CERRONE BUILDERS, INC.
IN CONNECTION WITH DEDICATION OF DEVIN COURT
IN THE VILLAGE AT SWEET ROAD SUBDIVISION

WHEREAS, by Resolution No.: 194,2015 the Queensbury Town Board authorized the
dedication of Devin Court in The Village at Sweet Road Subdivision, and
WHEREAS, at the time of dedication the Developer, Cerrone Builders, Inc., provided the
Town with: 1) a $40,567 Letter of Credit with Trustco Bank to ensure placement of the top coat on
Devin Court; and 2) $3,100 cash escrow for the Town to hold for two (2)years to ensure maintenance
of stormwater facilities, such sum to be held in escrow in accordance with the terms of an Escrow
Agreement, and
WHEREAS, as required by the Escrow Agreement, the Town deposited the funds in an
interest bearing account, and
WHEREAS, the Highway Superintendent has advised the Town Board that Devin Court has
been completed to his satisfaction and the stormwater facilities have been maintained and therefore, he
has requested that the Town Board authorize the release of the Letter of Credit as well as the monies
held by the Town in escrow, and
WHEREAS, the Town Board wishes to therefore authorize the release of the Letter of Credit
and the refund of funds currently held in escrow to Cerrone Builders, Inc., as required by the Escrow
Agreement,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes the release of the Letter of
Credit to Cerrone Builders, Inc., in connection with the dedication of Devin Court in The Village at
Sweet Road Subdivision as delineated in the preambles of this Resolution, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Budget Officer to
arrange for the return of escrow funds to Cerrone Builders, Inc., which sum shall be the amount of
$3,100 plus any earned interest, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Clerk and/or
Town Highway Superintendent to provide a certified copy of this Resolution to: Cerrone Builders,
Inc., 1589 Route 9, South Glens Falls,New York 12828, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor, Town
Highway Superintendent and/or Town Budget Officer to take such other and further action necessary
to effectuate the terms of this Resolution.

ESCROW AGREEMENT
AGREEMENT, made as of the I `�/ day of May, 2015, between the TOWN OF
QUEENSBURY, County of Warren; State of New York (hereinafter referred to as the
"TOWN,") a municipal corporation, having its principal place of business at 742 Bay Road,
Queensbury, New York 12804 and CERRONE BUILDERS, INC., a corporation organized
under the laws of New York, having its principal office at 1589 Route 9, Moreau,New York 12828
(hereinafter referred to as the "DEVELOPER").
WITNESSETH:
WHEREAS, by Town Board Resolution No.: 10 ZOOS which is attached
hereto as Exhibit A, the Town authorized dedication of Devin Court ("road") in The Village at
Sweet Road subdivision to the Town of Queensbury contingent upon the DEVELOPER
providing the Town with cash escrow in the amount of $ to ensure
maintenance of stormwater facilities for the next two (2) years; and
WHEREAS, the TOWN and DEVELOPER wish to enter into an Escrow Agreement to
provide for the $ 3 , 5� ,4� in escrow funds; and
WHEREAS, the DEVELOPER agrees to pay maintain the stormwater facilities in the
manner set forth in this Agreement.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES AND
COVENANTS HEREIN CONTAINED, AND FOR OTHER GOOD AND VALUABLE
CONSIDERATION, THE PARTIESAGREEAS FOLLOWS.
1. DEVELOPER agrees to reimburse the TOWN for the cost of the maintenance of
the stormwater facilities if DEVELOPER does not maintain the stormwater facilities for the next
two (2) years, without further approval of the TOWN BOARD and DEVELOPER.
2. For the -purpose of such reimbursement, DEVELOPER shall deliver an initial
amount of $ 3-F 100 to the Town Budget Officer as Escrow Agent to be held in
escrow in a separate interest-bearing account ("Escrow Account") opened in the name of the
TOWN with the Town of Queensbury having sole signatory authority on the account.
The Escrow Agent shall establish the interest bearing account as described above
and deposit the funds in the account.
3. The Escrow Agent shall release monies in the escrow account in accordance with
the following procedure:
A. DEVELOPER Timely Completes Ton Coat. Upon receipt of written
confirmation from the Town Highway Superintendent that DEVELOPER
has completed to the Highway Superintendent's satisfaction the top coat of
the road within the required time period, the Escrow Agent shall pay all
amounts in the Escrow Account to DEVELOPER. In such case, this
Agreement shall be deemed terminated.

B. DEVELOPER Does Not Maintain the Stormwater Facilities. Upon
receipt of written confirmation from the Town Highway Superintendent
that DEVELOPER has not maintained the stormwater facilities to the
Town Highway Superintendent's satisfaction, the Escrow Agent shall
immediately deliver to the TOWN the entire amount in such Escrow
Account. DEVELOPER acknowledges and agrees that, should it fail to
complete such work to the satisfaction of the Town Highway
Superintendent, the TOWN may use such funds (including interest) as the
Town Highway Superintendent shall determine necessary to complete
such work and may undertake to complete such work either by contract or
Town Law or force account, at such time as the Town shall deem
appropriate. DEVELOPER further agrees that it shall be liable and
obligated for any costs for such work incurred by the TOWN that should
exceed the amount on deposit. If such costs are less than the deposited
amount, the TOWN shall return the balance of the Escrow Account to
DEVELOPER.
4. The terms and' conditions set forth in Paragraph 3 set forth all duties and
responsibilities of the Escrow Agent in connection with the release of funds from the Escrow
Account and in the event that the Escrow Agent complies with the terms of Paragraph 3, the
Escrow Agent's duties and responsibilities under this Agreement shall be deemed complete.
5. Any funds together with interest remaining in the escrow account upon
termination of this Agreement shall be returned within thirty(30) days of such termination by the
Escrow Agent to the DEVELOPER.
6. The terms of this Agreement shall not create any right in any person, firm,
corporation, or entity other than the parties of this Agreement and their respective successors and
permitted assigns and no third party shall have the right to enforce or benefit from these terms.
7. It is agreed by the parties to this Agreement that no representations are made by
the TOWN that maintenance of the stormwater facilities will be equal to or cost less than
$ 3 j1<:X .-S4 . In the event that the cost of maintenance is over $ 3 ;1�1�i;� , the
TOWN and Escrow Agent shall bear no responsibility or liability.
8. This Agreement contains the full understandings of the parties. If any clause or
paragraph in this Agreement is declared illegal or unenforceable by a Court of Law then the
remainder of the Agreement shall be read as if such illegal or unenforceable clause or paragraph
has been omitted.

WHEREAS, Cerrone Builders, Inc. (Developer) has offered a deed to the Town of
Queensbury to dedicate Devin Court in The Village at Sweet Road Subdivision to the Town of
Queensbury as more particularly described in a survey map prepared by VanDusen & Steves Land
Surveyors, LLC dated April 15,2015,and
WHEREAS, the Town Highway Superintendent has inspected the road and recommended
its acceptance contingent upon the Developer completing the top coat of the black-top within two
years of the date of acceptance or by June 1st, 2017 and if applicable, all drainage easements being
in place, and
WHEREAS, the Developer will provide the Town with a$40,567 Letter of Credit to ensure
placement of the top coat on the road by June 1". 2017 consistent with the Town Highway
Superintendent's requirements, and
WHEREAS,the Town Water Superintendent and Wastewater Director has indicated that an
inspection has been made of the water mains, wastewater collection lines and appurtenances
installed in The Village at Sweet Road Subdivision and the installation has been made in
accordance with the requirements of the Town Water/Wastewater Department, with the Developer
to be responsible for the installation's repair and maintenance for one year from the date of Town
Board approval of the road dedication or through June 1st,2016, and
WHEREAS, the Town's Zoning Administrator has confirmed that his office inspected
Devin Court and it was found to be in general compliance with the requirements of his office except
that permanent survey monuments have not yet been installed,
NOW,THEREFORE,BE IT
RESOLVED, that the Queensbury Town Board hereby accepts and approves the dedication
of Devin Court in The Village at Sweet Road Subdivision contingent upon the Town's receipt of the
required $40,567 Letter of Credit as delineated in the preambles of this Resolution and the Town
Highway Superintendent confirming that permanent survey monuments have been installed, and
BE IT FURTHER,
RESOLVED, that the Town Board authorizes and directs the Town Supervisor to execute,
sign and affix the Town seal to any and all documents necessary to complete the transaction, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs Cerrone Builders to record
the deed in the Warren County Clerk's Office, after which time the deed shall be properly filed and

STORMWATER CONTROL FACILITY MAINTENANCE AGREEMENT
WHEREAS, the TOWN OF QUEENSBURY, a municipal corporation, with an address of 742
Bay Road, Queensbury, New York 12804 (the "Municipality") and THE VILLAGE AT SWEET
ROAD HOMEOWNERS' ASSOCIATION, INC., a not-for-profit corporation organized under the laws
of New York,with an address of 1589 Route 9,Moreau,New York 12828 (the "Facility Owner") want to
enter into an agreement to provide for the long term maintenance and continuation of stormwater
control measures approved by the Municipality for the below named project, and
WHEREAS, the Municipality and the Facility Owner desire that the stormwater control
measures be built in accordance with the approved project plans and thereafter be maintained, cleaned,
repaired, replaced and continued in perpetuity in order to ensure optimum performance of the
components. Therefore,the Municipality and the Facility Owner agree as follows:
1. This agreement binds the Municipality and the Facility Owner, its successors and
assigns, to the maintenance provisions depicted in the approved project plans which are attached as
Schedule A of this agreement.
2. The Facility Owner shall maintain, clean, repair, replace and continue the stormwater
control measures depicted in Schedule A as necessary to ensure optimum performance of the measures
to design specifications. The stormwater control measures shall include, but shall not be limited to, the
following: drainage ditches, swales, dry wells, infiltrators, drop inlets, pipes, culverts, soil absorption
devices and retention ponds.
3. The Facility Owner shall be responsible for all expenses related to the maintenance of
the stormwater control measures and shall establish a means for the collection and distribution of
expenses among parties for any commonly owned facilities.
4. The Facility Owner shall provide for the periodic inspection of the stormwater control
measures, not less than once in every five year period, to determine the condition and integrity of the
measures. Such inspection shall be performed by a Professional Engineer licensed by the State of New
York. The inspecting engineer shall prepare and submit to the Municipality within 30 days of the
inspection, a written report of the findings including recommendations for those actions necessary for
the continuation of the stormwater control measures.
5. The Facility Owner shall not authorize, undertake or permit alteration, abandonment,
modification or discontinuation of the stormwater control measures except in accordance with written
approval of the Municipality.
6. The Facility Owner shall undertake necessary repairs and replacement of the
stormwater control measures at the direction of the Municipality or in accordance with the
recommendations of the inspecting engineer.
7. The Facility Owner shall provide to the Municipality within 30 days of the date of this
agreement, a security for the maintenance and continuation of the stormwater control measures in the
form of an escrow account.
8. This agreement shall be recorded in the Office of the County Clerk, County of Warren,
together with the deed for the common.property and shall be included in the offering plan and/or
prospectus approved pursuant to Part 22 of Title 13 of the New York Codes, Rules and Regulations.

9. If ever the Municipality determines that the Facility Owner has failed to construct or
maintain the stormwater control measures in accordance with the project plan or has failed to
undertake corrective action specified by the Municipality or by the inspecting engineer, the
Municipality is authorized to undertake such steps as reasonably necessary for the preservation,
continuation or maintenance of the stormwater control measures and to affix the expenses thereof as a
lien against the property.
10. This agreement is effective beginning on June ,2015.
