RESOLUTION APPROVING AND AUTHORIZING
EXECUTION OF CONTRACT OF SALE
BETWEEN TOWN OF QUEENSBURY AND
QUEENSBURY ECONOMIC DEVELOPMENT CORPORATION

WHEREAS, the Town of Queensbury is currently the owner of a
certain parcel of land, approximately 34 acres in size, bearing Tax
Map No. 146-1-6, and more specifically described in a deed from
Helen M. Merritt and G. Robert Merritt to the Town of Queensbury,
dated July 28, 1968, and recorded at Liber 513, Page 226, and
WHEREAS, the Town Board of the Town of Queensbury previously
expressed its interest and desire to arrange for the sale of the
aforesaid property with a grant of right-of-way to the Queensbury
Economic Development Corporation at an amount equal to its
appraised value of $90,000.00, and
WHEREAS, the Town Board of the Town of Queensbury, as required
by Section 1411 of the Not-for-Profit Corporation Law, held a
public hearing on the 21st day of March, 1994 concerning said sale
and thereafter determined that it would be appropriate to sell the
property to the Queensbury Economic Development Corporation,
subject to approval by the Town Board of a Contract of Sale, and
WHEREAS, a Contract of Sale providing for the sale of the
property described in the preambles of this resolution to the
Queensbury Economic Development Corporation was previously
presented to the Town Board of the Town of Queensbury, and a
revised contract has now been presented,
NOW, THEREFORE, BE IT
RESOLVED, that the Town Board of the Town of Queensbury hereby
approves the revised Contract of Sale between the Town of
Queensbury and the Queensbury Economic Development Corporation,
providing for the sale of the real estate described in the
preambles of this resolution, and
BE IT FURTHER
RESOLVED, that the Town Board of the Town of Queensbury hereby
authorizes and directs the Town Supervisor to execute the Contract
on behalf of the Town and take such other and further steps as may
be necessary to complete the transaction and arrange for the
conveyance of the property to the Queensbury Economic Development
Corporation in accordance with and so long as all of the conditions
of the Contract are satisfied, and the Town Supervisor is hereby
also authorized and ordered to complete and affix the seal of the
Town of Queensbury to any other documents that may be necessary to
complete the transaction, including, but not limited to the Deed,
Real Property Transfer Report and Capital Gains Affidavit, and
BE IT FURTHER,
RESOLVED, that any previous resolutions of this Town Board
authorizing a different agreement other than as approved at this
meeting, are hereby rescinded.

vote:
