RESOLUTION AUTHORIZING AGREEMENT BETWEEN
TOWN OF QUEENSBURY AND NORTHWAY ANIMAL EMERGENCY
CLINIC PLLC FOR VETERINARY SERVICES

WHEREAS, the Town of Queensbury has authorized the Society for the Prevention of
Cruelty to Animals of Upstate New York, Inc. (SPCA) to undertake certain activities on its behalf
in accordance with the New York State Agriculture and Markets Law and the Queensbury Town
Code, and
WHEREAS, on behalf of the Town, SPCA will be in possession of dogs which may need
emergency veterinary care or care outside of normal business hours, and
WHEREAS, the Town Clerk has recommended that the Town Board authorize an
Agreement with the Northway Animal Emergency Clinic PLLC for the care of dogs found within
the Town by the SPCA, Warren County Sheriff or New York State Police which are in need of
such emergency veterinary care or care outside of normal business hours, and
WHEREAS, a proposed Agreement for 2021 has been presented at this meeting and is in
form acceptable to the Town Clerk and Town Counsel,
NOW,THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes the Agreement with the
Northway Animal Emergency Clinic PLLC for the care of dogs found within the Town by the
SPCA, Warren County Sheriff or New York State Police which are in need of emergency
veterinary care or care outside of normal business hours for January 1, 2021 through December
31, 2021, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor to
execute the Veterinary Services Agreement substantially in the form presented at this meeting and
any other needed documentation and the Town Supervisor, Town Clerk and/or Town Budget
Officer to take such other and further action as may be necessary to effectuate the terms of this
Resolution.

VETERINARY SERVICES AGREEMENT
This Veterinary Services Agreement (Agreement) is made on December , 2020 by
and between the Town of Queensbury, a municipality and political subdivision of the State of
New York having its principal office at 742 Bay Road, Queensbury, NY 12804 (Town) and the
Northway Animal Emergency Clinic PLLC, having its principal office and place of business at
35 Fawn Road, Gansevoort,NY 12831 (Clinic).
WHEREAS, the Town has authorized the Society for the Prevention of Cruelty to
Animals of Upstate New York, Inc., (SPCA) to undertake certain activities on its behalf pursuant
to the New York State Agriculture and Markets Law and the Queensbury Town Code; and
WHEREAS, on behalf of the Town of Queensbury, SPCA will be in possession of dogs,
which may need emergency veterinary care or care outside of normal business hours.
Purpose: The purpose of this Agreement is to memorialize the understanding of the
Town and the Clinic as to the care of dogs found within the Town by the SPCA, the Warren
County Sheriff or New York State Police, which are in need of veterinary care.
Obligations: When a dog in the possession of the Town (or SPCA on behalf of the
Town) is in need of care as determined by the Clinic, the Clinic shall receive such dog from
SPCA and provide the necessary care in order to stabilize its condition. It shall then notify
SPCA which will take back possession of the dog. In the event a dog's condition cannot be
stabilized and the Clinic, in consultation with SPCA, believes that euthanasia is the most
appropriate option available, the Clinic shall euthanize such dog.
Compensation: The Town shall pay the Clinic's fee for this care, but such a fee shall not
be in excess of$400.00 for the care provided to any one dog.
Renewal/Termination: This Agreement shall be in effect from January 1, 2021 through
December 31, 2021 and will be automatically renewed thereafter in one year increments unless

either party notifies the other of its intention not to renew. Either party may terminate on thirty
days' written notice to the other sent by regular mail to the address first set forth above.
IN WITNESS WHEREOF, the Parties hereto, by their duly authorized representatives,
have executed this Agreement as of the date first above written.
