party of the first part, and
SARATOGA PRIME PROPERTIES, LLC, with offices at 215 Ballard Road,
Wilton. New York 12831
party of the second part
WITNESSETH, that the party of the first part, in consideration of One and 00/100 Dollars
($1.00) lawful money of the United States and other good and valuable consideration paid by
the party of the second part, does hereby grant and release unto the party of the second part,
it's successors and assigns forever,
ALL THAT TRACT OR PARCEL OF LAND, together with buildings and appurtenances
thereon, situate in the Town of Queensbury, County of Warren, State of New York, more
particularly described in Schedule A attached hereto and made a part hereof.
The conveyance is made subject to any and all covenants, easements, conditions and
restrictions of record.
BEING the same premises as conveyed by Barbara F. White to Mitchell A. Cohen by
Warranty Deed dated June 14, 2002, and recorded in the Warren County Clerk's Office on
June 17, 2002 at Liber 1290 of Deeds at Page 304.
TOGETHER with the appurtenances and all the estate and rights of the party of the first part
in and to said premises,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, its
successors and assigns forever,
And said party of the first part covenants as follows:
FIRST, that the party of the second part shall quietly enjoy the said premises;
SECOND, that the said party of the first part will forever WARRANT the title to said
premises.
THIRD, that in compliance with Section 13 of the Lien Law, the party of the first part shall
receive the consideration for this conveyance and shall hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvement and shall apply the same first to the payment of the cost of the improvement
before using any part of the total of the same for any other purpose.

SCHEDULE A
ALL THAT CERTAIN PIECE OR PARCEL OF LAND situate, lying and being in the Town of
Queensbury, Warren County, New York, more particularly bounded and described as follows:
BEGINNING at an iron pipe set in the ground in the approximate northwesterly bounds of New York State
Highway Route number U.S. 9 which runs from the City of Glens Falls to the Village of Lake George at the
northeasterly corner of premises formerly of Marie Purchla and being also the southeasterly corner of a parcel of
land conveyed by Christopher P. Liapes to John B. and Donald C. Haskell by deed dated September 19, 1961,
recorded in book number 413 of Deeds at page 514 in the Warren County Clerk's Office, running from thence
north 67 degrees and 43 minutes west along the southwesterly bounds of the said lands conveyed to John B. and
Donald C. Haskell, being also along the northeasterly bounds of the said lands, formerly owned by Marie Purchla
158.13 feet to the most westerly corner thereof; thence running south 89 degrees and 47 minutes west along the
southerly bounds of premises conveyed by Abe Schwartz and Harry G. Goldwater to John B. and Margaret S.
Haskell by deed dated March 10, 1960, recorded in book number 396 of deeds at page 555 in the Warren County
Clerk's Office, being still along the northerly bounds of lands formerly of Marie Purchla, 335.27 feet to a point in
the easterly bounds of Interstate Route number 87, also known as the Northway; thence running north 27 degrees
and 56 minutes east along the easterly bounds of Interstate Route number 87, 148.34 feet to a concrete monument;
thence running north 83 degrees, 54 minutes and 30 seconds east, 373.37 feet to an iron pipe set in the ground;
thence running south 67 degrees and 43 minutes east 160.00 feet to a point in the approximate northwesterly
bounds of the said New York State Highway Route number 9 distant 244.70 feet at a bearing of south 32 degrees
and 35 minutes west, measuring along the said highway bounds, from the northeasterly corner of the lands now or
formerly of Dennis H. Galloway and Ruth H. Galloway; thence running south 32 degrees and 06 minutes west
along the approximate northwesterly bounds of the said highway, 127.67 feet to a point at the northeasterly corner
of the said premises conveyed by Christopher P. Liapes to John B. and Donald C. Haskell; thence running south 33
degrees and 01 minute west, still along the approximate northwesterly bounds of the said highway and the
southeasterly bounds of the said lands conveyed by Christopher P. Liapes to John B. and Donald C. Haskell, 72.33
feet to the iron pipe set in the ground at the point and place of beginning, containing 2.10 acres of land, be the same
more or less. Bearings given in the above description refer to the magnetic meridian as of January 13, 1969.
EXCEPTING any portion of the said New York State Highway Route number U.S. 9 which may lie within
the bounds of the above described premises.
EXCEPTING and reserving the easement, right and privilege, if any, concerning the pond or reservoir
located on the premises to be conveyed as said rights were created (and only if said rights exist) by a deed from
Anna Eliza Chapman to Howard A. Ramsey and Inez W. Ramsey, by deed dated the 241h day of April,1947 and
recorded on the same date in the Warren County Clerk's Office in Book 249 of Deeds at Page 466.
TOGETHER with and SUBJECT to all enforceable covenants, easements, restrictions and conditions of
