WHEREAS, by Resolution No.: 139,2020, the Queensbury Town Board authorized
engagement of the Public Employer Risk Management Association, Inc., (PERMA) to serve as the
Town's Third Parry Administrator (TPA) and provide third parry claims management services for the
Town's workers' compensation claims predating January 1', 2000 through PERMA's partner
Sedgwick and by Resolution No.: 234,2021, the Town Board authorized renewal of PERMA's
services, and
WHEREAS, the Town Board therefore wishes to authorize renewal of PERMA's services for
an additional two (2) year term effective on 7/l/2023 as set forth in PERMA's June 8, 2023 Proposal
presented at this meeting,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes and directs engagement of
the Public Employer Risk Management Association, Inc., (PERMA)to continue serving as the Town's
Third Parry Administrator(TPA) and providing third parry claims management services for the Town's
workers' compensation claims predating January 1', 2000 through PERMA's partner Sedgwick for an
additional two (2)year term effective on 7/l/2023 through 6/30/2025 as set forth in PERMA's June 8,
2023 Proposal presented at this meeting and as follows:

RESOLVED, that the Town Board hereby authorizes and directs the Town Supervisor to
execute any documentation necessary and the Town Supervisor and/or Town Budget Officer to take
any other actions necessary to effectuate the terms of this Resolution.

Terms and Conditions
• If the Member seeks to terminate the agreement prior to 6/30/2025 a short-rate penalty will apply to the
total contribution$583,190
e Payroll audit will be performed; however,this is only to verify that the exposure estimates are accurate
for coding and excess insurance purposes—A change in contribution will NOT be processed.
• The contribution for Year Two of the contract will depend on the resulting loss experience from
7/1/2023-5/31/2024. For purposes of this calculation,the Loss Ratio is defined as incurred losses
divided by earned contribution as of 5/31/2024.
• In addition to the Year Two contribution indicated above,the member is responsible for the applicable
NYS Workers Compensation Board(WCB)Assessments. PERMA is required to collect this on behalf of
the WCB and pass through the monies to the WCB when invoiced. The WCB additionally may audit the
related payrolls quarterly and adjust the billing as needed.
