WHEREAS, the Town of Queensbury and the West Glens Falls Emergency Squad, Inc.
(Squad) have entered into a 2024 Agreement for emergency protection services (Agreement) which
sets forth a number of terms and conditions including a condition that the Squad will not purchase or
enter into any binding contract to purchase any piece of apparatus, equipment, vehicles, real property,
or make any improvements that would require the Squad to acquire a loan or mortgage or use money
placed in a"vehicles fund"without prior approval of the Queensbury Town Board, and
WHEREAS, the Town Board and Squad negotiated terms for a 2024 Amendment Agreement
for emergency protection services to, among other things, add an additional paid service crew for an
extra shift of five (5) hours for an additional annual estimated cost of$80,000, which $80,000 would
be provided by: 1) an allocation of an additional $50,000 to the Squad from the Town's Emergency
Services Fund Balance; and 2) the shifting of$30,000 in the Squad's 2024 Primary Agreement/2024
budget from "Maintenance, Operations, Insurance, Capital Projects and Apparatus Replacement" to
"Paid Staffing,"and
WHEREAS, by adding an additional daily paid service crew during the time when the Squad
experiences very high call volumes,the proposed Amendment Agreement will help improve emergency
services within the Town and therefore in accordance with Town Law §184, the Town Board duly
conducted a public hearing on Monday, March 18t", 2024 and heard all interested persons concerning
the proposed Amendment Agreement,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby approves the 2024 Amended
Agreement for emergency protection services between the Town of Queensbury and the West Glens
Falls Emergency Squad, Inc., and authorizes and directs the Town Supervisor to execute such
Amendment Agreement in substantially the form presented at this meeting, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor and/or
Budget Officer to take such other and further actions necessary to effectuate the terms of this
Resolution.

THIS AMENDMENT AGREEMENT CONTAINS PROVISIONS WHICH AMEND
AND/OR MODIFY THE ORIGINAL 2024 EMERGENCY PROTECTION SERVECES
(HEREINAFTER REFERRED TO AS THE 'rPRINIARYAGREEMENT") AUTHORIZED ,BY
QUEENSEURY TOWN .BOARD RESOLUTION NO.: 425,2023. IF ANY PROVISIONS
CONTAINED IN THIS AGREEMENT SHOULD CONFLICT WITH THE PRIMARY
AGREEMENT, THE PROVISIONS OF THIS AGREEMENT SHALL BE CONTROLLING.
THIS AMENDMENT AGREEMENT, made as of the 18'h day of March, 2024 between
THE TOWN BARD OF THE TOWN OF QUEENSRURY, acting for and on behalf of the
Town of Queensbury, a municipal corporation situate in the County of Warren and State of New
York (hereinafter referred to as the "TOWN") and the 'WEST GLENS FALLS EMERGENCY
SQUAD, INC., a New York Nat-for-Profit Corporation, located in the Town of Queensbury,
Warren County, New York (hereinafter referred to as the "EMERGENCY SQUAD").
WITNESSETH, that
WHEREAS, Town Law § 184 and General Municipal Law § 122-b provide that a Town
Board may contract with an ambulance service certified or registered in accordance with Public
Health Law Article 30 for ,general emergency ambulance services within the Town, and
'WHEREAS, by Resolution No.: 425,2023, the Town authorized a 2024 emergency
protection services Agreement with the Emergency Squad, and
WHEREAS, the Town and Emergency Squad have negotiated terms for a proposed. 2024
Amendment Agreement for emergency protection services to add an additional paid service crew
for an extra daily shift of five (5) hours for the remainder of 2024 for an additional annual estimated
cost of $80,000, which $80,000 would be provided. by: 1 ) an allocation of an additional $50,000 to
the Emergency Squad from the Town's Emergency Services Fund Balance; and 2) the shifting of
$30,000 in the Emergency Squad's Primary Agreement/2024 budget from "Maintenance,
Operations, Insurance, Capital Projects and Apparatus Replacement" to "Paid Staffing," and
WHEREAS, by adding an additional daily paid service crew during the time when the
Emergency Squad experiences very high call volumes, the proposed Amendment Agreement will
help improve emergency services within the Town and therefore in accordance with Town Law
§ 184, the Town Board set a public hearing concerning the proposed Amendment Agreement, and
WHEREAS, on Monday, March 18'", 2024, the Town Board duly held a public hearing
concerning the proposed Amendment Agreement, heard all interested persons and determined it
necessary and in the public interest to authorize the Amendment Agreement to improve the
provision of emergency services to the Town,
NOW, TUEREFORE, for good and valuable consideration as set forth herein, the
parties agree that this Amendment Agreement amends the Primary Agreement for Emergency
Protection Services currently in effect through December 31 St, 2024 to provide for additional Town
funding to the Emergency Squad of $50,000 for 2024 toward the provision of an additional daily
paid service crew for an extra shift of five (5) hours without actually replacing the entire Primary
Agreement, resulting in total Town funding to the Emergency Squad of $1,566,817 for 2024. This
Amendment Agreement amends the Primary Agreement, attached hereto as Exhibit B, specifically
as follows:
1 . Paragraph 3 "Paid Service" — Amend Subparagraph C as follows: "The Town
Board will fund such paid staffing up to $ ;$63 $868,863 per year. Paid Staffing
will be paid ahead in six (6) equal installments, paid every other month starting with
the first audit in January,"
2, Paragraph 3 "Paid Service" - Amend Subparagraph C (i) as follows:

(i) The above will allow West Glens Falls Rescue Squad to offer two three
crews: One everyday 24 hours ALS and 24 Hour BLS services; the tithe
one to be 10 hour ALS and BLS services and one to be 5 hour ALS and
BLS ,provider or BLS and BLS provider services. This proposal may be
altered only if doing so provides an improved provision of emergency
services to town residents.
3. Paragraph 6 "Town's Responsibilily to Pay" — Amend Subparagraph A as follows:
"Pay to the Emergency Squad and the Emergency Squad agrees to accept the
following amounts for furnishing emergency ambulance in accordance with the
terms of this Agreement for 2024: $501 ,863 $ 471,863 for Operating Expenses
and Insurance and $226,091 for Debt Service."
4, Exhibit A "2024 EMERGENCY SQUAD BUDGET" - Amend the dollar
amounts as set forth on the attached Exhibit A.
5. Other than as set forth in this Amendment Agreement, no waiver of or modification
to any provisions of this Amendment Agreement or the Primary Agreement for
Emergency Protection Services shall be valid unless in writing and signed by
authorized representatives of the parties.

2. Town Implementation of Aill for Service
The Town has implemented the bill for smvice program whereby a qualified company will

travel to keep this reimbursement to a miturnum, (i.e., carpooling).
D. The Emergency Squad shall establish a policy and rental rate for use of its
facilities by outside agencies and Individuals for training and private functions_
Revenue derived from rental of the facilities shall be applied annually toward tyre
Erne rrcy Squad's expenses far building repair and maintenmce.
E. Any revenues derived from activities Etas ded through the Emergency Scluados
Agreement With the Town shall be applied tovards opexational expenscs funded
by Town contract mordees.
This Agreement shall be for a period of one (I) year beginning January 1. 2024 and
Continuing through December 31, 2024. The parties intend to open negotiations for a future
agreement at least 90 days prior to exphation ofthis Agreement.

A. The Emergency Squad agrees not to purobase: or enter into any binding contract W incsur
debt of any amount or purchase any piece of appamtus. eguipmeut. vehicles, real
Property. or make any improvements thereon, with a value of $90,000 or mores without

prior approval by Resolution of the QUeensbmy Town Board. As part of the approval

ability to maintain a responsible deist .level witWn the approved budget. It is understood
and agreed that such approval will not be interpreted as an b9mernrnt by the Town to
assume r=pansibiiity or liability for payment or guarantee or assure payment for s tok

Queensbuiry Town Supervisor, Town Board and 'Town Budget 011acer, certain records rWating to
recordation and accumulation of points by Volunteer Ernerg+qy Squad Meaibers participating in
the Volunteer Ambulance Service Awards Program established previously by Lee I.revv fallowing
approval of the voters at a referendum. The VAxergency Squad shall keep all records that are
required by such Local Law and the records shall be provided and ceftifed to the Tows Hoard at
such throes and In such farm as may be prescribed by the Town Board of the Town of Queerisbuxy
not later than Mamb 31' of each year, or not later than 30 days aftcr a viritten rest has been
made. (Reference is hereby made to Chapter 16 of the Code of-the Town of QNuumsbury).
