This will confirm our recent telephone conference regarding the drainage easement
requested by the Town over lands of the Mastoloni Family LLC as part of the approval of BOH 28,
2009.
You informed me that the Town Board had reconsidered and would no longer require or
accept the easement. You also suggested that the Board would have concerns in the event the
drainage pipe currently in place failed and water from the property across the street began to
accumulate.

ENCUMBERED PROPERTY: The land owned by Owner which is described
in Schedule A, and shown on Schedule B, which schedules are
attached hereto and incorporated herein.
BENEFITTED PROPERTY: The lands of the Grantee, as described in a
deed to the Grantee from Edward J. Mastoloni dated June 9, 2008
and recorded in the Office of the Warren County Clerk on June 17,
2008 in Book 3571 at Page 246.
AGREEMENT: IN CONSIDERATION of One Dollar ($1 . 00)and other good
and valuable consideration, Owner hereby grants to Grantee an
easement of right-of-way upon the following terms:
1. USE: Grantee shall have the right to use the Encumbered
Property solely as part of the driveway leading to the garage on
the Benefitted Property, as shown on Schedule B, solely for
ingress and egress, and solely in connection with the residential
use of the Benefitted Property.
2. PROPERTY: The property burdened by this easement is
limited to the premises described in Schedule A and shown on
Schedule B.
3. MAINTENANCE: Grantee shall be solely responsible for all
maintenance of the driveway located on the easement.
4 . LIABILITY AND INDEMNIFICATION: Owner has no obligations
whatsoever, express or implied, relating to the use, maintenance
or operation of the easement. Owner shall not be liable to
Grantee or any other party for injuries or death to persons or
damage to property or any other harm in connection with the
easement. Grantee shall indemnify and hold harmless Owner from
any and all costs, claims or liability, including, but not
limited to, reasonable attorneys fees arising from any personal
injury, death, or property damage, accidents, negligence or
damage relating to the easement, or any claim thereof, unless due
solely to the negligence of Owner or its agents.

5. DURATION: This Easement shall run with the land and be
binding upon the heirs, assigns, transferees, or other successors
in interest of Owner and the Grantee as to both the Encumbered
Property and the Benefitted Property.
6. ENTIRE AGREEMENT: This instrument sets forth the entire
agreement of the parties with respect to the easement and
supersedes all prior discussions, negotiations, understandings
and agreements relating to the easement, all of which are merged
herein. No alteration or variation of this instrument shall be
valid or binding unless contained in an amendment signed by the
parties and recorded with the Warren County Clerk.
IN WITNESS OF THEIR AGREEMENT to this Easement, Owner and
Grantee have signed their names below as of the date stated
