3.05 3.5 AGREEMENTSUens Falls YMCA—6-1-15 RESOLUTION AUTHORIZING AGREEMENT BETWEEN TOWN OF QUEENSBURY AND FAMILY YMCA OF THE GLENS FALLS AREA RESOLUTION NO. ,2015 INTRODUCED BY: WHO MOVED FOR ITS ADOPTION SECONDED BY: WHEREAS, the Town of Queensbury wishes to enter into an agreement with the Family YMCA of the Glens Falls Area to support the YMCA's provision of its summer day camp experience to approximately 30 children, and WHEREAS, a proposed Agreement has been presented at this meeting, NOW, THEREFORE, BE IT RESOLVED, that the Queensbury Town Board hereby approves of the Agreement between the Town and the Family YMCA of the Glens Falls Area to support the YMCA's provision of its summer day camp experience to approximately 30 children, with funding for the Agreement not exceeding the sum of $6,000 and authorizes and directs the Town Supervisor to execute the Agreement, with funding to be paid for from Account No.: 001-8989-4414. As a charitable organization, we are committed to improving the quality of life of our community and members by promoting healthy lifestyles, personal growth and educational opportunities. The Family YMCA of the Glens Falls Area has run a successful summer camp for over 115 years that supports children in becoming the best versions of themselves. We ensure that the children not only experience arts and crafts and sports, but also learn our core values of caring, honesty, respect, and responsibility: When children and teens are out of school, they can face barriers related to hunger, health, learning, water safety and accessing safe spaces, preventing them from reaching their full potential. Camp Chepontuc's overall experience will have children achieving greater health in spirit, mind and body. Camp Chepontuc serves youth ages 3-18 years old and runs 5 days per week for 9 weeks. A highly trained and professional staff supervises the campers and our camp is licensed by NYS Department of Health. Boys and girls enjoy engaging activities that offer opportunities to get exercise, learn sports, and play as a team. This year's theme 'Passport To Summer' has the children discovering other countries such as Egypt, Australia, Japan, and Greece. Weekly enrichments will have the children signing up for the summer reading program at Crandall Library to facilitate the fun of reading; exploring the foods, cultures, clothes and music from across the globe at The World Awareness Children's Museum; and learning the introductory basics of personal finance, work readiness and entrepreneurship through the Junior Achievement program. Camp is about developing the life skills that help campers build and maintain positive relationships, learn about the difference in others, and feel confident in the person they are becoming. The total cost to run Camp Chepontuc is $130,000. The budget includes staff ($87,200), supplies ($4,200), transportation ($10,000), field trips ($12,500), marketing ($2,500), and other costs ($13,600). The Town of Queensbury's support last year enabled local children to experience 40 weeks of quality summer camp and helped them on the road to becoming well-rounded citizens of our community. In addition to your annual support, we receive assistance from the City of Glens Falls and the Charles C. Freihofer III Advised Fund. At the V, we don't just run a camp, we ensure that our communities' children reach their full potential by helping them grow from young children into engaged, active members of our community. We are requesting$6,000 which will allow over 30 children to attend Camp Chepontuc for one or two weeks. Some may attend more weeks, especially in cases where parents work and the children need childcare. The Y will provide each of these children an annual Y youth membership so they can participate year-round in programs such as swimming, gymnastics, and sports that cultivate the values, skills, and relationships that lead to positive behaviors, better health, and educational achievement. The value of the 30 Y youth memberships is $4,860. By strengthening these children, we are strengthening our community and ensuring a brighter future for the Queensbury Area. Sincerely, Brian Bearor Chief Executive Officer L AGREEMENTS\Glens Falls Family YMCA—June 2015 AGREEMENT BETWEEN THE TOWN OF QUEENSBURY AND FAMILY YMCA OF THE GLENS FALLS AREA THIS AGREEMENT, made as of the 1st day of June, 2015 by and between the TOWN OF QUEENSBURY, Warren County, New York, (hereinafter referred to as the "TOWN") and the FAMILY YMCA OF THE GLENS FALLS AREA, a non-profit agency organized and existing under the laws of the State of New York, with its principal place of business at 600 Glen Street, Glens Falls, New York, (hereinafter referred to as the "CONTRACTOR") in the manner following: IT IS AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS: 1. Contractor agrees to furnish community services to the Town and its residents for the 2015 calendar year, which is also the Town's fiscal year, in consideration of the sum set forth below. The services to be provided by the Contractor are: Operation of its NYS Department of Health licensed summer day camp program at the YMCA for children ages 3-14. Boys and girls will enjoy arts and crafts, games, sport, swim lessons, recreational swim, fitness programs, field trips and more, with the goal of introducing healthy habits for a lifetime. 2. The Town agrees to pay Contractor the sum of$6,000 in full consideration for the services previously set forth. Such amount shall be paid as follows: A. 100 % upon submission of a Town Voucher (see Exhibit A to this Agreement) and approval of the Voucher by the Town Supervisor. B. Prior to payment, the Town shall require submission of the following supporting information or documents: Year 2015 Program Brochure,Literature,or Newsletters. 3. The Contractor additionally agrees to furnish to the Town throughout the term of this Agreement all financial and program information reasonably requested which is related to the services provided. 4. It is understood and agreed that the relationship of the Contractor to the Town shall be that of independent contractor. The independent contractor agrees that it will hold itself in accordance with such status and that it will neither present itself nor claim to be an officer or employee of the Town. 5. The Contractor agrees and warrants to indemnify the Town and hold it harmless for any and all claims arising out of the performance of this Agreement which are made against the Contractor. 6. The Contractor agrees that it shall neither assign nor in any manner convey the rights or obligations of this Agreement to any other person, company, or organization without the previous written consent of the Town. 7. This Agreement may be terminated by either party upon thirty(30) days notice in writing to the other party. The Contractor further agrees that in the event of cancellation of this Agreement by either party, it will make a full and final accounting of all Town funds received under this Agreement within thirty (30) days after notification of cancellation has been issued. 8. Unless cancelled earlier under the terms of the preceding paragraph, this Agreement expires on December 31,2015. 2 9. It is agreed by the parties that this Agreement constitutes the full and complete agreement by the parties and that it may not be changed orally.
