RESOLUTION AUTHORIZING AGREEMENT WITH RICHARD H.
DINOLFO, CERTIFIED PUBLIC ACCOUNTANT FOR PROVISION OF
PROFESSIONAL ACCOUNTING AND CONSULTING SERVICES

WHEREAS, the Queensbury Town Board previously authorized engagement of the services
of Richard H. Dinolfo, Certified Public Accountant (Mr. Dinolfo), to provide professional accounting
and consulting services to the Town of Queensbury, and
WHEREAS, the Town's Budget Officer has recommended that the Town Board again
authorize engagement of Mr. Dinolfo to provide such services to the Town through December 31St
2016 as more fully set forth in Mr. Dinolfo's proposal to the Town dated December 29, 2015 and
presented at this meeting, and
WHEREAS, the Town Board wishes to authorize such services,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes the engagement of Richard
H. Dinolfo, Certified Public Accountant for provision of professional accounting and consulting
services to the Town of Queensbury, to be billed at the rate of$135 per hour of service, not to exceed
$7,500, for time provided through December 31St, 2016, as generally described in Mr. Dinolfo's
December 29, 2015 proposal presented at this meeting, and
BE IT FURTHER,
RESOLVED, that the Town Board authorizes and directs the Town Supervisor to sign such
proposal substantially in the form presented at this meeting, and
BE IT FURTHER,
RESOLVED, that payment for such services shall be from the appropriate Town accounts as
may be determined by the Town Supervisor and/or Town Budget Officer, and
BE IT FURTHER,
RESOLVED, that the Town Board and authorizes and directs the Town Supervisor and/or
Town Budget Officer to take such other and further action as may be necessary to effectuate the terms
of this Resolution.

Dear Ms. Tierney,
RE: Proposal to Provide Professional Accounting and Consulting Services
I am pleased to submit this proposal to provide professional accounting and consulting services
to the Town of Queensbury for purposes requested by the Town.
The initial service to be provided during 2016 is preparation of the Town's government-wide
financial statements as of and for the year ended December 31,2015. The primary financial
information to be used to prepare the government-wide financial statements will be the financial
information reported by the Town in its 2015 Annual Financial Report Update Document to be
submitted to the Office of the State Comptroller of the State of New York,and from the Town's
general ledger and capital asset records. We understand that providing the requested professional
accounting and consulting services may require several hours of time on location at the Town of
Queensbury offices and may include meeting with Town management and independent auditors,
discussions with appropriate Town personnel and review of other information that may be
helpful to the Town's efforts. The services may also include time on location outside of the
Town of Queensbury offices. From our previous conversations,we understand that the
compilation of the Town's government-wide financial statements will not be required to be
communicated to the Town in a written report,but could be communicated verbally,by e-mail or
by other less formal methods,or a combination of these less formal communications.
The cost proposal for initial services requested by the Town will be billed at the rate of$135.00
per hour of service time provided not to exceed$7,500.00. For any additional services requested
by Town personnel through December 31,2016 will also be billed at the rate of$135.00 per hour
of service time provided.
We understand that the requested services to be performed are intended primarily to assist Town
management and the Accounting Department with financial management,accounting and
financial reporting issues. It is understood that the requested services to be provided do not
include auditing services. The results of these services are the responsibility of the Town's
management. Accordingly,the Town of Queensbury agrees to the following:

1. Barbara Tierney will be accountable and responsible for overseeing the results of the
above services.
2. The Town's management will establish and monitor procedures to ensure that the results
of the above services meet management's objectives.
3. The Town's management will make any decisions that involve management functions
related to the above services and will accept full responsibility for such decisions.
4. The Town's management will evaluate the adequacy of services performed and any
findings that result.
I will be in charge of all of the work we will perform for you,and it will be my responsibility to
ensure that you receive quality service.
We agree that none of the officers or employees of Richard H. Dinolfo CPA will hold themselves
out as,or claim to be,an officer or employee of the Town of Queensbury.
Please read this proposal carefully. If you are in agreement,please sign and date the enclosed
copies and return one signed copy to us. Thank you for your consideration. We look forward to
