SCOPE OF WORK AND, MATERIALS: This contract shall consist of the bid and proposal, general conditions,standard conditions, and references contained hereon, the work write-up, and drawings and lead- risk assessment, if any, incorporated herein. Upon request by Shelter Planning & Development, Inc. the Contractor must provide manufacturer's specifications for any material/product to be used in the rehabilitation work prior to their use or installation, Shelter Planning&Development, Inc. shall be responsible for determining whether or net a product/material meets the specifications called for under the contract. The decision made by Shelter Planning & Development, Inc, shall be final. 2. HOLD HARMLESS:The Contractor shall indemnify, defend and,save harmless the Owner, the New York State Housing Trust Fund, the Town of Queensbury and Shelter Planning & Development, Inc. and their agents and employees from liability for any injury or damages to persons or property resulting from, arising out of or related to any of the work performed or obligations set forth in this Agreement, including but not limited to attorney's fees and court costs. Contractor is acting in the capacity of an Independent Contractor with respect to the Owner. 3. LIEN WAIVERS: As a condition to receiving final payment hereunder, the Contractor shall deliver to the Owner a complete release of all liens arising out of this Contract and a warranty covering all work performed hereinunder to the effect that such work shall be free from defects arising from the workmanship of the Contractor or any subcontractor or the quality of materials used herein, for one (1) year or for such longer period as may be included in any warranty given by the manufacturers of any material used in the work performed hereinunder. 4. TIME FOR PERFORMANCE: The Owner hereby issues a written proceed order, attached to this Agreement. The Contractor shall begin the work under this Agreement Upon receipt of liability insurance, NY Worker's Compensation,Town Permit 2016, and shall diligently pursue and execute the work and shall complete the work on or before May 10, 2016 time being of the essence of the agreement. If the Contractorfails to commence work within one(1)week of the date of Owner's notification to commence, Owner shall have the right to terminate this Agreement. Such termination of notice shall be in writing. If completion is delayed for reason's beyond the Contractor's control, Contractor shall provide timely notice to the Owner of the reasons for such delay. If such good cause is claimed by the Contractor, it shall be the Contractor's obligation to substantiate its claim by adequate documentation. CONTRACT AMOUNT AND PAYMENT SCHEDULE:The Contractor may make application for a progress payment as soon as those components of the work itemized and identified by number in the specifications for which payment is requested, have been completed. The request for payment shall include a statement describing the work that was performed. Upon approval of such request for payment by the Owner,and the Town of Queensbury, the Contractor shall be paid ninety(90%) percent of the approved progress payment amount contained in the application for payment. Payments are subject to the Owner's acceptance of work done, in addition to inspection by the Rehabilitation Officer, and the Town of Queensbury Building &Codes Office, as applicable. Final payment requires evidence of all applicable permits, inspections, clearances and required signatures before a disbursement request for payment can be processed. All amounts due and payable by the Owner to the Contractor for work performed under this agreement shall be payable after the work is satisfactorily completed and approved. Payment to the Contractor shall be made upon receipt of funds from the State of New York to the Town of Queensbury. The Contractor and the Owner acknowledge the neither the Town of Queensbury, nor Shelter Planning&Development, Inc.,have any control pertaining to the amount of time the State of New York takes to make funds available for contract work completed The Owner, Town of Queensbury, and/or New York Homes and Community Renewal, or any of their designated representatives, before making payments hereunder may require the Contractor to furnish releases or receipts from any or all persons performing work and supplying materials or services to the Contractor, or any subcontractor, or work under this contract, if this is deemed necessary to protect the Owner's interest. PAYMENT AMOUNT:For the consideration named herein,the Contractor proposes to furnish all material and do all the work described in,and in accordance with the contract identified above for the sum of Thirteen thousand eight hundred eighteen dollars and no cents($13.818.00). 7. DESIGNATED REPRESENTATIVES:The Owner acknowledges New York State Homes and Community Renewal or its designated representatives, and the Town of Queensbury or its designated representatives shall be afforded access at all times to inspect the work. The designated representative for the Town of Queensbury is Shelter Planning&Development, Inc., 94 Glenwood Avenue, Queensbury, New York (518- 798-6627). 8. PERMITS AND CODES:The Contractor shall give all notices required by and comply with all applicable laws, ordinances, and codes of the local government and shall at his own expense, secure and pay the fees or charges for all permits required for the performance of contract work. 9. LIABILITY INSURANCE AND NEW YORK STATE WORKER'S COMPENSATION INSURANCE: The Contractor shall carry or require that there be carried complete Workers'Compensation for all of his employees and those of his subcontractors engaged in work on the contract premises, in accordance with the laws of New York State governing the same. The amounts and limits of the public liability and insurance referred herein, shall be subject to approval of the Owner. The Contractor shall furnish evidence of a comprehensive public liability insurance coverage protecting the Owner for not less than $1,000,000.00 in the event of bodily injury including death, and $1,000,000.00 in the event of property damage arising out of the work performed by the Contractor. 10. DEFAULT: If the Contractor refuses to complete the work specified in the contract, refuses to provide the required warranty, or fails to complete the work as specified in this contract, and has not requested and received a contract extension on or before the completion date identified above, the Contractor shall be deemed to be in default. New York State Homes and Community Renewal SHARS HOME 20133127 In the event of default,the Town of Queensbury and/or its designated representative, Shelter Planning & Development, Inc. may take any of the following actions: a)Terminate the contract with the Contractor upon payment to the contractor for the reasonable value of any labor or materials furnished to the work site. The parties hereto agree that the value of labor or materials furnished shall be solely by Shelter Planning&Development, Inc.A penalty against the Contractor may also be made by deducting ten (10%) percent of the total cost of the contract from the amount owed the Contractor in default; and/or b)Waive the default and amend the contract to establish a new deadline for completion and/or sanction the defaulting Contractor by prohibiting it from bidding on any other rehabilitation projects under this program for a period of ninety(90)days from the date of Shelter Planning & Development's determination. 11. DISPUTES AND RESOLUTION: In the event that there is an unresolved dispute between the Owner and the Contractor as to the meaning of any term or condition of this contract including the specifications, the proper installation of materials/products or the proper completion of the project and Contractor responsibilities under the contract, Shelter Planning & Development, Inc. shall be the mediator. The decision made by Shelter Planning& Development, Inc. shall be final. 12. CHANGES TO THE SCOPE OF WORK: Products other than specified in the contract specifications must present manufacturer's specifications for the approval by Shelter Planning&Development, Inc. prior to their use under this contract. Any work other than specified in the contract specifications shall not be approved, unless reduced in writing, and approved by the Owner, Contractor, and Shelter Planning& Development, Inc.. Shelter Planning&Development, Inc. shall be responsible for determining whether or not work performed, or changes in work product/material meets the specifications called for under the contract. The decision made by Shelter Planning&Development, Inc,shall be final. 13. ADDITIONAL APPLICABLE LAWS: During the performance of this contract, the Contractor agrees as follows: a) There will not be any discrimination against any employee or application for employment because of race, creed,color or national origin. The Contractor will take Affirmative Action to insure that applicants are employed, and that employees are treated during employment without regard to their race, creed, color or national origin. b) Pursuant to Section 3 of the Housing and Community Development Act of 1968, the Contractor will,to the extent possible, provide training and employment opportunities to low and moderate income residents of the Town of Queensbury and/or Warren County. c) The Contractor will cause the foregoing provisions to be inserted in all subcontracts for work covered by the contract so that such provisions will be binding upon each subcontractor, the foregoing provisions shall not apply to any contracts or subcontracts for standard commercial supplies or raw materials. 14. REMOVAL OF DEBRIS: The Contractor shall keep the premises clean and orderly during the course of the work and remove all debris upon completion of the work. 15. ASSIGNMENT OF CONTRACT: The Contractor shall not assign this contract without the written consent of the Owner and that such request for assignment of said contract must be addressed to Shelter Planning&Development, Inc. OWNER COOPERATION: The Owner shall cooperate with the Contractor to facilitate the performance of the work, including the removal and replacement of rugs, coverings and furniture as necessary.The Owner further agrees to perform no construction work of any kind on this property during the course of this agreement, and further acknowledges that failure to comply with this requirement will result in the immediate termination of this contract. Service calls necessary to maintain current working systems does not constitute construction. The Owner will permit the Contractor to use at no cost, existing utilities such as light, heat, power, and water necessary to the carrying out and completion of the work. The Owner will make accommodations in routines to the degree reasonable to allow the Contractor to perform work for timely completion as per schedule. The Contractor likewise acknowledges that work requested beyond a typical construction work day may not be reasonable and should discuss such considerations with the Owner before starting work. 17. OCCUPANCY:The premises herein shall be occupied during the course of the construction work undertaken pursuant to this contract. 18. PROHIBITION OF KICKBACKS: No officer, employee or official of the Town of Queensbury who exercises any function of responsibilities in connection with carrying out of the project to which this contract pertains shall have any private interest, direct or indirect, in this contract or in its proceeds. 19. CONTRACTING PARTIES: The undersigned attests, subject to the penalties for perjury,that they are the contracting party or that they are the representative, agent, member or officer of the contracting party,that they have not, nor has any member, employee, representative, agent or officer of the firm, company, corporation or partnership represented by them,directly or indirectly,to the best of their knowledge, entered into or offered to enter into any combination, collusion or agreement to receive or pay, and that they have not received or paid, any sum of money or other consideration for the execution of this agreement other than that which appears upon the face of this agreement. 20.
