Please note that these are estimated payments based on the information provided. A firm revenue projection can be created with more information upon award. After each obligation period and before the next registration period, Queensbury's program performance will be reviewed by NRGCS. We will assess Queensbury's Average Coincidental Load (ACL) for the SCR program and Customer Baseline (CBL) for the CSRP program annually to ensure its site is in the best position possible. We will recommend adjustments to the bid as we see fit to maximize program revenue. Any adjustment will be discussed and agreed upon with designated Queensbury personnel prior to the next nomination. Queensbury's performance will be calculated on a per hour basis and paid accordingly, capped at 100% of the declared curtailmentvalue. NRGCS will poll all participants to find out what time of day is suitable for the annual test and provide notice no less than 3 business days prior to the audit test. © 2018 NRG Curtailment Solutions,Inc.All rights reserved I Response to Request for Proposal for a Demand Response Partner Proprietary and Confidential I Page 3 Town of Queensbury Water Filtration Plant Penalty and Performance Structure We will distribute performance reports each season, which will provide Queensbury with detailed insight into their performance levels and how their property performance factor affects overall payments. We will work closely with Queensbury personnel to ensure the site reaches all of their energy reduction objectives. Should any Queensbury facility fail to meet their pre-established reduction value they will not be penalized for under-performance. Rather the payment will be made according to the amount that is reduced, and will be based upon a predetermined $/kW amount. Queensbury will not be subject to any out-of-pocket performance costs. Contract Terms and Settlement Process Our measurement and verification methods help us reliably calculate actual kW reduction during an event or test, maximizing payments for participation. We demonstrate the value of these processes by supplying accurate, transparent and consistent assessments of customer performance. We handle all aspects of the settlement process directly with National Grid and the New York Market. Payments will be made to Queensbury semi-annually after each obligation period. We are also able to pay Queensbury by check or ACH. Should a customer prefer to be compensated on a monthly or quarterly basis, NRGCS prefers the customer to enroll in ACH. NRGCS' contract terms are flexible to any changes Queensbury would like to propose. None of our services or programs are out-sourced, everything is handled in-house. Obtaining a customer for our program is meaningless if that customer does not have access to step-by-step curtailment guidance. Upon award, we will complete a detailed analysis of the specified Queensbury facility to develop a customized Reduction Action Plan (RAP). Our engineering team aims to carefully understand each participating facility's assets and their overall energy consumption, resulting in a RAP based upon measures they feel they may adequately reduce. This customized RAP will be a curtailment strategy specifically tailored to each facility's operations and will be as fully-automated as possible. We will work together with Queensbury personnel to make sure that all levels of staff are briefed on the program and understand what participation entails. If desired, we can offer training sessions for all involved staff via conference calls, webinars and on-site visits as needed. Our ultimate goal is to ensure that all participating facilities are prepared, knowledgeable and ready to reduce to their committed kW when an event is activated. Each property will be allowed an unlimited amount of event contacts. These contacts are then entered into our custom event notification system. RGCS reserves the right to withhold your registration should there be a material change(s)to program rules,terms or conditions. Definitions. Any capitalized terms not defined herein shall have the meaning ascribed to that term in the applicable tariff,manual,or program rules. "Delivery Year"is the one year period defined by each RTO/ISO,utility,or other program administrator during which programs are available,which may include a full year or lesser periods defined by multiple seasons or multi-month periods. "Event"is a load curtailment event called by NYISO. "Expected Reduction"is the expected kW reduction mutually agreed upon based on NRGCS'assessment of your ability to perform.NRGCS will notify you of the expected reduction in a Registration Confirmation.NRGCS shall reassess your Expected Reduction periodically and maintains sole discretion in determining your expected reduction. "Performance"equals your average,actual delivered kW reduction expressed as a percentage of your Expected Reduction(capped at 100%per hour)over all called Event hours during the Performance Obligation Period. You understand that NRGCS retains ownership of this NRGCS Equipment. If you no longer have an agreement with NRGCS, you will cooperate with NRGCS in the event that it wishes to recover the NRGCS Equipment. A meter installed by NRGCS contains software proprietary to NRGCS and NRGCS grants you a license to use the software for as long as you are enrolled with NRGCS. Generator Attestation. you shall promptly notify NRGCS if the status of your permits has changed,or if your use or ownership of a generator has changed. Agency Authorization. In order to streamline the registration of your account(s),you authorize NRGCS to act as your agent to complete any documents required by NYISO in connection with your enrollment in NRGCS's demand response program.This includes a Third Party Authorization allowing your utility to release to NRGCS information such as billing records and meter usage data. You also authorize NRGCS to complete any forms on your behalf required to allow NRGCS to install an interval meter,if eligible. Such agency authorization shall remain in effect for the duration of this agreement. Information Sharing.In order to provide better value and ensure quality of service you authorize NRGCS to share your information with NRGCS affiliates or subsidiaries,as well as with third party partners that we have contracted with NRGCS to perform certain functions or services on behalf of you and/or NRGCS. Assignment. NRGCS may contract with its affiliates and subsidiaries and with subcontractors to perform its obligations under the Agreement and may assign, without your consent,its rights and obligations under the Agreement in whole or in part to an affiliate or to a successor-in-interest. Complete Program Terms. Program descriptions contained herein represent a summary of program rules. You agree to comply with all program terms and conditions,which are subject to change,including applicable RTO and/or utility tariffs,manuals,laws and regulations governing your participation in the programs that you are enrolled in. NRGCS shall calculate and utilize a baseline value,if applicable,as defined in the prevailing tariff,manuals,and business rules that apply to each program that you are enrolled in. NRGCS reserves the right to exercise discretion in calculating and/or utilizing a baseline value to the extent permitted under applicable program rules. Notifications.If you are unable to provide your committed curtailment amount,you agree to notify NRGCS as soon as commercially practicable. NRGCS reserves the right to discontinue at its discretion your participation in any program based upon your performance. Customer Cooperation. You will provide NRGCS,for the duration of this agreement,all necessary information to register you and maintain your enrollment in the program selected by NRGCS. (2) We will be called when the day ahead forecasted load level is at least 92% of the forecasted summer system-wide peak. We will be given not less than 21 hours'advance notice to provide load relief during the Contracted Hours and a day-of confirmation notice at least 2 hours prior to the start of the Event/Test. The Contracted Hours are defined as the four-hour period within a weekday (excluding federal holidays) to provide load relief. We may voluntarily provide load relief for unplanned events that include requests for load relief: (a) on less than 21 hours'advance notice; or (b) for events called Saturday, Sunday, and Holidays. The Program Period will be from May 1st through September 30th (3) NRGCS will register us at a kW level in its discretion, considering our performance in the NYISO program and the measurement methodology of the program. We will be paid based on the kW we are registered for, as adjusted for our performance and NRGCS' network-wide de-rating, if any, and the number of months we are enrolled for. (4) We will not be penalized out-of-pocket if we fail to reduce when called upon. (5) We authorize NRGCS to enroll us in the above-indicated programs and, if we do not currently have a Billing Interval Meter(BIM), act as our agent to request a BIM through National Grid, at NRGCS'sole cost, as necessary. (6) We authorize NRGCS to be our exclusive demand response provider for all applicable demand response programs, to the extent permitted by law and governing regulations, including programs offered by NYISO and/or by utility companies relating to energy, capacity and ancillary services. To ensure NRGCS's compliance with applicable program rules, we agree to disclose to NRGCS our existing enrollment in any NYISO or utility company's demand response program, and the use of on-site generation for participation in the program. (7) If we use generators in demand response we agree to ensure such units are properly permitted, and agree to track the hours of use and amount of emissions to ensure participation in tests or events is in compliance with all regulatory limits on hours of use or amount of emissions. (8) This Agreement will be effective as of the date signed below and will continue for three (3) annual periods.
