310.2016 Res. Smart Watt Energy Services RESOLUTION AUTHORIZING CERTAIN PROFESSIONAL SERVICES WITH SMART WATT ENERGY, INC. IN RELATION TO AN INVESTMENT GRADE ENERGY AUDIT RELATING TO POSSIBLE ENERGY-SAVING FACILITY IMPROVEMENTS RESOLUTION NO.: 310, 2016 INTRODUCED BY: Mr. Doug Irish WHO MOVED ITS ADOPTION SECONDED BY: Mr. Anthony Metivier WHEREAS, the Queensbury Town Board is considering entering into an Energy Performance Contract (EPC) for the provision of energy saving services in exchange for a portion of the energy savings or revenues, and WHEREAS, EPCs are specifically authorized by New York Energy Law Article 9, and WHEREAS, an EPC is an agreement for the provision of energy services, including but not limited to electricity, heating, ventilation, cooling, steam or hot water, in which a person agrees to install, maintain or manage energy systems or equipment to improve the energy efficiency of, or produce energy in connection with, a building or facility in exchange for a portion of the energy savings or revenues, and WHEREAS, the first step of entering into an EPC is to obtain professional services to engage an energy services company (ESCO) to conduct an Investment-Grade Energy Audit (IGA) of the Town's assets and identify cost-saving improvements, and WHEREAS, if the IGA indicates significant cost savings could be realized under an EPC, the level of cost savings to result from implementation of the energy improvements would be guaranteed, and WHEREAS, if the IGA indicates that an EPC would not be likely to reduce energy expenses, the Town will not enter into an EPC and the cost of the IGA will not be recovered, and 1 WHEREAS, SmartWatt Energy Inc., in consideration of an agreement with the Town and the payment of$21,000, has agreed to furnish all labor, materials, and equipment and perform all work required for completion of the IGA, and NOW THEREFORE, BE IT RESOLVED, that the Queensbury Town Board authorizes the Town Supervisor, following review and approval by Town Counsel, to sign an Investment-Grade Energy Audit (IGA) with Smart Watt Energy, Inc., and BE IT FURTHER RESOLVED, that the Town Board authorizes the Town Supervisor to execute all documents and perform all acts necessary and proper for entering into and completing the IGA, subject to all such documents and acts being reviewed and approved by Town Counsel and BE IT FURTHER, RESOLVED, that the Town Board further authorizes and directs the Town Supervisor, Town Counsel and/or Town Budget Officer to take any and all actions necessary to effectuate all terms of this Resolution.
