4.6 4.6 AGREEMENTS\NY Class—NY Cooperative Liquid Assets Securities System—Investment Process—11-19-18 RESOLUTION AUTHORIZING COOPERATIVE INVESTMENT AGREEMENT AND TOWN OF QUEENSBURY'S PARTICIPATION IN NEW YORK COOPERATIVE LIQUID ASSETS SECURITIES SYSTEM (NYCLASS) RESOLUTION NO.: 12018 INTRODUCED BY: WHO MOVED ITS ADOPTION SECONDED BY: WHEREAS, New York General Municipal Law Article 5-G, §119-o empowers municipal corporations to enter into, amend, cancel and terminate agreements for the performance among themselves or one for the other of their respective functions, powers and duties on a cooperative or contract basis, and WHEREAS, the Town of Queensbury wishes to invest certain of its available investment funds in cooperation with other corporations and/or district in accordance with a municipal cooperation agreement, and WHEREAS, the Town Board wishes to assure the safety and liquidity of its funds, NOW, THEREFORE, BE IT RESOLVED, that the Queensbury Town Board hereby authorizes the Cooperative Investment Agreement in the name of and on behalf of the Town of Queensbury and the Town's participation in the New York Cooperative Liquid Asset Securities System (NYCLASS) and authorizes and directs the Town Supervisor to execute and deliver the Agreement as well as any other needed documentation, and BE IT FURTHER, RESOLVED, that the Town Board further authorizes and directs the Town Supervisor, Town Counsel and/or Town Budget Officer to take such other and further action as may be necessary to effectuate the terms of this Resolution. Sincerely, The NYCLASS Governing Board About NYCLASS NYCLASS is a short-term, highly liquid investment fund, designed specifically for public-sector. It provides the opportunity to invest funds on a cooperative basis in short-term investments which are carefully selected to provide maximum safety and liquidity while generating a competitive yield. Participation is available to any municipal corporation or special-purpose district empowered under New York State statute, including cities, towns, villages, school districts, boards of cooperative educational services, fire districts and counties outside of The City of New York. Also eligible are county or town improvement districts which are required to pledge their faith and credit for debt service. NYCLASS is subject to the terms of the October 20, 1999, CLASS Municipal Cooperation Agreement (the Agreement), as amended March 14, 2014, and is structured in accordance with New York State General Municipal Law (GML), Article 3-A and Article 5-G, Sections 119-n and o, and Chapter 623 of the Laws of 1998. All NYCLASS investment and custodial policies are in accordance with GML and Sections 10 and 11 (as amended by Chapter 708 of the Laws of 1992). The Agreement is between the Village of Potsdam (Lead Participant) and each district and/or municipal corporation that formed the original NYCLASS fund, or that subsequently elects to participate. Once the Lead Participant has received and, through the Fund Administrator, processed the fully executed Municipal Cooperation Agreement and Authorizing Resolution,the Custodian will be notified and participation can begin. A representative of the Fund Administrator will then inform the new Participant of the fund's contribution, withdrawal and transfer procedures. The Administrator will also establish the bank instructions, and answer any questions you may have. Participants will also be informed regularly via email of the dates and locations of regional Participant meetings. These meetings discuss the relevant issues to the governance and operations of the NYCLASS fund.
