INSTALLMENT LAND CONTRACT THIS AGREEMENT, made this ~~day of /17.~<<~ 1984, by and between LAWRENCE MILLINGTON and NANCY ESTELLA MILLINGTON , his wife, residing at Alden Avenue Extension, Warrensburg, New York, 12f~85, hereinafter referred to as the "Sellers", and MICHAEL J. GALE and SHELLEY A. GALE, his wife, residing at 157 South Street, Glens Falls, New fork, 12801, hereinafter referred to as the "Purchasers"; W I T N E S S E T H In consideration of the mutual covenants and agreements herein contained , the Sellers agree to sell to the Purchasers and the Purchasers agree to purchase from the Sellers, upon the terms and conditions herein contained, the following property, to wit: ALL that tract or parcel of land situate, lying and being in the Town of Queensbury, Warren County, State of New York,. bounded and described as follows Beginning at a point on easterly side of Leo Street which point is the northwesterly corner of premises now or formerly of one Habshi and also the southwesterly corner of lands awned by Ralph A. and Geneva K. Elmore, thence southerly 150 feet more or less along westerly line of lots on west side of Howard Street to a stake, thence westerly 150 feet more or less to east side of Leo Street, thence northerly along Leo Street 150 feet more or Iess to Elmore property, thence easterly 150 feet to point of beginning. A. No rubbish or junk shall b«~ collected or stored on the premises. B . Not more than one unlicensed motor vehicle shall be on the premises at any one time. C . No house or outbuildings shall be constructed on the premises without the approval of the parties of the first part or the survivor of them. D . No out side toilet . 1. The Purchasers agree to pay to the Sellers, their heirs and assigns, as the full purchase price for the within described premises, the sum of Two Thousand Five Hundred Dollars ($2,500.00), to be paid as follows: (a) the sum of Five Hundred Dollars ($500.00) cash or certified funds upon the execution of this agreement; and (b) the balance of Two Thousand Dollars ($2,000.00) to be paid, without interest, as follows: the sum of Eighty Dollars ($80.00) shall be due and payable on account of principal, without interest, on the ;~.~.c1 day of ;~ ~ 1984, and a like sum shall be due and payable on account principal only on the ~~-~~day of each moth thereafter, until said principal sum has been fully paid, the entire unpaid balance to be due and payable in any event on the ;~?~~ day of ~~ ~ ~ 1986 , together with the privilege to the Purchasers to pay any or all of said principal sum on any monthly payment date in advance, without penalty. All taxes, rent, wf ~ er and sewer bills, if any, shall be pro rated as of the day of closing. 3. The Purchasers shf~11 have possession of the premises upon the execution of this agreement . 4. The Purchasers shall keep the property free and clear of all liens and encumbrances and in the event they suffer any lien or encumbrance to attach to said premises, the Sellers shall have the right and privilege of paying said lien or encumbrance and adding the amount so paid to the next payment due or declaring this contract null and void and treating the Purchasers as provided in paragraph "7" of this agreement. 5. The Purchasers shall, at their own expense, sufficiently protect the Sellers with a policy of liability insurance, naming the Sellers as additional insureds. 6. The Purchasers shall comply -with all laws and ordinances affecting the use of said property and shall not use said property for any illegal purposes. 7. Upon default in payment of any installment of principal, or upon default in any payment of any taxes, assessments or water rent, or in default in payment of any liability insurance upon said premises for thirty (30) days, the Sellers may elect to declare the whole balance due hereunder payable immediately and to declare this contract null and void. Sellers may thereafter, in addition to all other remedies Sellers may have, treat all payments made hereunder as rent ar.d Sellers, their heirs and assigns, shall thereafter have the right to treat the Purchasers as monthly tenants and shall, if the Purchasers shall not vacate said prc~raises, have all the remedies as a landlord may exercise for the recovery and retaking of the possession of said premises against the Purchasers. NEW' CORK t2M5 herein provided shall be exercised in writing and mailed to the last known addre: ~; of the Purchasers. 8. The failure of the Sellers to exercise any rights or remedies against the Purchasers upon any default under this contract shall not constitute a waiver to exercise said rights for any subsequent default. 9. Upon payment in full of the principal due hereunder and upon the performance of all the terms and conditions of this agreement by the Purchasers, the Sellers agree to convey all of their right , title and interest in and to said property to the Purchasers by the execution and delivery of a quit claim deed. 10. It is understood and agreed that all representations, understandings and agreements heretofore made and had between the parties hereto, their agents and brokers, if any, are merged in this agreement, which alone fully and completely expresses their agreement, and that the same is entered into after full investigation, neither party relying upon any statement or representation made by the other not embodied in this agreement. 11. The Purchasers shall not assign this contract without the written consent of the Sellers.
