WHEREAS, by Resolution No.: 34,2022, the Queensbury Town Board authorized
engagement of GTM Payroll Services, Inc., (GTM) for the provision of professional payroll and
human resources services, and
WHEREAS, the Town Board and GTM wish to amend its Human Resource Services
Agreement as set forth in the First Amendment to Master Human Resource Services Agreement
in substantially the form presented at this meeting,
NOW, THEREFORE, BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes the First Amendment to
Master Human Resource Services Agreement with GTM Payroll Services, Inc. and authorizes and
directs the Town Supervisor to sign such Amendment Agreement in substantially the form
presented at this meeting as well as any other needed documentation and the Town Supervisor
and/or Town Budget Officer to take any and all actions necessary to effectuate the terms of this
Resolution.

FIRST AMENDMENT TO
MASTER HUMAN RESOURCE SERVICES AGREEMENT
THIS FIRST AMENDMENT TO MASTER HUMAN RESOURCE SERVICE
AGREEMENT (this "Amendment") is made effective as of , 2022, by and
between GTM PAYROLL SERVICES, INC., a New York corporation with its principal office
located at 9 Executive Park Drive, Clifton Park, New York 12065 (hereinafter referred to as
"GTM"), and TOWN OF QUEENSBURY, a New York municipality with its principal office
located at 742 Bay Road, Queensbury,New York 12804 ("Client").
WHEREAS, GTM and Client entered into Master Human Resource Services Agreement
(the "Agreement");
WHEREAS, GTM and Client have agreed to amend the Agreement to add additional
human resource services to the services to be provided by GTM to Client;
NOW, THEREFORE, in consideration of mutual covenants contained herein and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged
by the parties, it is hereby mutually agreed as follows:
I. Definitions. Any capitalized terms not otherwise defined herein shall have the
meaning ascribed to such terms as set forth in the Agreement.
2. Amendment.
The definition of"Services" in Section 1 of the Agreement is hereby amended to
add the following:
Consulting services to be provided by Marge Mulligan or another
person approved in advance by the Client, relating to change
management, organizational effectiveness, governance issues, culture
issues and other personnel/HR issues all at an hourly fee of$125 per
hour to be provided upon request of the Client.
3. Confirmation. Except as specifically set forth herein, all other terms and
conditions of the Agreement shall remain unmodified and in full force and effect, the same being
confirmed and republished hereby. In the event of any conflict between the terms of the
Agreement and the terms of this Amendment, the terms of this Amendment shall control.
4. Counterparts. This Amendment may be executed in any number of counterparts
all of which taken together shall constitute one and the same instrument and any of the parties or
signatories hereto may execute this Amendment by signing any such counterpart. Copies of
original signatures sent by facsimile, portable document format (.pdf), or other electronic
imaging means shall be deemed to be originals for all purposes of this Amendment.

5. Successors and Assigns. This Amendment shall inure to the benefit of and shall
be binding upon the parties hereto and their respective heirs, legal representatives, successors
and permitted assigns.
IN WITNESS WHEREOF, GTM and Client have caused this Amendment to be
executed as of the day and year first above written.

PAYROLL AND HUMAN RESOURCES SERVICES

WHEREAS, by previous Resolution, the Town of Queensbury engaged GTM Payroll
Services,Inc., (GTM)for provision of payroll services, and
WHEREAS, GTM acquired certain business assets of Pinnacle Human Resources, LLC
for the provision of human resources services, and
WHEREAS, the Town Board wishes to continue with GTM for the provision of both
payroll and human resources services,
NOW,THEREFORE,BE IT
RESOLVED, that the Queensbury Town Board hereby authorizes, directs and ratifies
engagement of GTM Payroll Services, Inc., for the provision of professional payroll and human
resources services to be paid for from the appropriate account(s) as may be determined by the
Town Budget Officer, and
BE IT FURTHER,
RESOLVED, that the Town Board further authorizes and directs the Town Supervisor to
sign Service Agreements for both professional payroll and human resources services in form(s)
acceptable to the Town Supervisor, Town Budget Officer and/or Town Counsel along with any
other needed documentation, and the Town Supervisor and/or Town Budget Officer to take any and
all action necessary to effectuate the terms of this Resolution.
